CONDITIONS TO PURCHASE AND SALE. SECTION 3.01. Conditions Precedent to the Company's Purchase of Receivables on the Effective Date. The obligation of the Company to purchase the Receivables and the other Receivable Assets hereunder on the Effective Date from the Sellers is subject to the conditions precedent, which may be waived by the Company, that (a) each of the Sale Documents shall be in full force and effect and (b) the conditions set forth below shall have been satisfied on or before the Effective Date:

The obligation of the Company to sell the Common Stock shall be subject to the Founder's delivery to the Company of an executed Subscription Agreement.
