Conditions to the Obligations of Pfizer. The obligation of Pfizer to consummate the transactions contemplated by this Agreement shall be subject to the satisfaction of the following conditions precedent:

The obligation of ------------------------------------------- Pfizer to consummate the transactions contemplated by this Agreement shall be subject to the satisfaction of the following conditions precedent: (a) Purchaser shall have performed in all material respects its agreements and obligations contained in this Agreement required to be performed by it at or before the Closing, and the representations and warranties of Purchaser contained herein shall have been true and correct in all material respects when made and shall be true and correct in all material respects as of the Closing, as if made as of the Closing (except for (i) changes contemplated or permitted by this Agreement or attributable to matters disclosed by Purchaser in the Schedules hereto, and (ii) those representations and warranties that address matters as of a particular date, which need be true in all material respects only as of such date). Pfizer shall have received a certificate of Purchaser, dated as of the Closing Date and signed by an officer of Purchaser, certifying as to the fulfillment of the foregoing. (b) Purchaser and its Affiliates shall have made or caused to be made delivery to Pfizer of the items required by Section 3.1(c). ARTICLE V
Conditions to the Obligations of Pfizer. The obligation of Pfizer to effect the Closing is subject to the satisfaction (or waiver by Pfizer, on behalf of the Seller Corporations) prior to the Closing of the following conditions:
