Conduct of Business; Compliance with Laws. Each Borrower shall, and shall cause each Subsidiary to (i) maintain its corporate existence and good standing in its respective state of incorporation and qualify and remain qualified as a foreign corporation in each jurisdiction in which such qualification is required, (ii) maintain in full force and effect all licenses, bonds, franchises, leases, patents, contracts and other rights necessary or desirable to the profitable conduct of its business, (iii) comply with all applicable federal, state, local and foreign laws, rules, regulations and orders of any Governmental Authority, except for such laws, rules and regulations the violation of which, in the aggregate, could not reasonably be expected to have a Material Adverse Effect, (iv) conduct its business substantially as now conducted or as otherwise permitted herein and (v) transact business only in its corporate name and such trade names as are set forth on EXHIBIT 6.8.

Conduct of Business; Compliance with Laws. The Company will carry on and conduct its business, and cause each of its Material Subsidiaries to carry on and conduct its business, in substantially the same manner and in substantially the same fields of enterprise as it is presently conducted and to do all things necessary to remain, and cause each of its Material Subsidiaries to remain, duly incorporated, validly existing and in good standing as a domestic corporation in its jurisdiction of incorporation and maintain, and cause each of its Material Subsidiaries to maintain, its qualification as a foreign corporation in each jurisdiction where the conduct of its business makes such qualification necessary, except where the failure to maintain such existence or qualification could not reasonably be expected to have a Material Adverse Effect. The Company will comply, and cause each of its Material Subsidiaries to comply, with all laws, rules, regulations, orders, writs, judgments, injunctions, decrees or awards to which it may be subject and obtain all licenses, certificates, permits, franchises and other governmental authorizations necessary to the ownership of its properties and the conduct of its business, the failure to comply with which or obtain which could reasonably be expected to have a Material Adverse Effect.
Conduct of Business; Compliance with Laws. The Borrower shall conduct its business in a proper and efficient manner in compliance with: · its constitutional documents; · all Sanctions Laws; · all Anti-Corruption Laws; · all Environmental Laws; and · all other laws and regulations applicable to its business, and shall notify the Agent immediately upon becoming aware of any breach of any such document, law or regulation.

The Company shall comply with all applicable laws and regulations where failure to comply would have a Material Adverse Effect. The Company shall pay all wages, salaries and the like due to its employees, agents or servants within a reasonable time unless the Board of Directors and any such person agree to defer such payments.

The Recipient will perform and discharge its obligations and covenants under all material agreements to which it is a party and the Recipient will demand and take all reasonable steps to encourage the discharge and performance by the other parties to such agreements of their obligations and covenants thereunder in each case where the failure to do so would cause a Material Adverse Effect.
