Conducting the Works. The AFP warrants that all activities relating to the Works will be carried out in accordance with the requirements and standards of all Relevant Authorities including as applicable to the building, construction and fit-out of the Facilities. The Works must be performed during, and completed by the end of, the Works Period The building works must commence within 6 months of receipt of a successful Outcome Letter by the AFP. The AFP must complete the Project within 12 months of the Funding Agreement being executed. If either of these timeframes are not met, it is a breach of the Funding Agreement. The AFP should not enter into any contracts with any third parties prior to the department executing the Funding Agreement, and if they do so they understand it is at their own risk. The AFP must conduct a transparent and competitive tendering process for procuring all goods and services in connection with the Works. This includes ensuring that formal contract documents are entered into with the relevant suppliers. The AFP will be required to engage a project manager for the purposes of overseeing the conduct of the Works who is reasonably satisfactory to the department. To be clear, the department is not approving the project manager.

(b) The Works must be performed during, and completed by the end of, the Works Period. There is no guarantee that the Funding Body will agree to any requested extension to the Works Period. (c) The building works must commence within 6 months of receipt of a successful Outcome Letter by the AFP (subject to the Outcome Letter). The AFP must complete the Project within 24 months of receipt of a successful Outcome Letter (subject to the Outcome Letter). If either of these timeframes are not met, it is a breach of the Funding Agreement. (d) The AFP should not enter into any contracts with any third parties prior to the Funding Body executing the Funding Agreement, and if they do so it is at their own risk. (e) The AFP must conduct a transparent and competitive tendering process for procuring all goods and services in connection with the Works. This includes ensuring that formal contract documents are entered into with the relevant suppliers. (f) The AFP will be required to engage a project manager for the purposes of overseeing the Works who is reasonably satisfactory to the Funding Body. Evidence to prove the suitability of the project manager may be reasonably requested by the Funding Body, which may depend on the cost and complexity of the Works. To be clear, the Funding Body will not approve the project manager, and the AFP must ensure the project manager and all other contractors of the AFP are appropriately licensed.

  • Testing-the-Waters Materials If at any time following the distribution of any Written Testing-the-Waters Communication there occurred or occurs an event or development as a result of which such Written Testing-the-Waters Communication included or would include an untrue statement of a material fact or omitted or would omit to state a material fact necessary in order to make the statements therein, in the light of the circumstances existing at that subsequent time, not misleading, the Company will promptly notify the Representatives and will promptly amend or supplement, at its own expense, such Written Testing-the-Waters Communication to eliminate or correct such untrue statement or omission.

  • Continuing the Work The Contractor shall carry on the Work and adhere to the progress schedule during all disputes, disagreements or alternative resolution processes with the Owner. The Contractor shall not delay or postpone any Work because of the pending resolution of any disputes, disagreements or processes, except as the Owner and the Contractor may agree in writing.

  • Time and Materials If this contract is designated as a Time and Materials contract, invoicing and payment shall be as follows: (a) Consultant shall submit invoices, not more often than once a month during the term of this agreement, based on the cost for work performed in accordance with the Rate Schedule in the Scope of Work and authorized reimbursable expenses incurred prior to the invoice date. Invoices shall contain the following information: (i) Serial identifications of bills, i.e., Xxxx No. 1; (ii) The beginning and ending dates of the billing period; (iii) A summary containing the total contract amount, the amount of prior xxxxxxxx, the total due this period, percentage of work completed, the remaining balance available for all remaining billing periods, and a brief description of work completed during the billing period. (b) City shall make monthly payments, based on such invoices, for satisfactory progress in completion of the Scope of Work, and for authorized reimbursable expenses incurred.

  • Time Off for Union Activities The employer agrees to grant the necessary time off, without discrimination or loss of seniority rights and without pay, to any employee designated by the Union to attend a labor convention provided that there is two-week notice of any union convention. Due consideration shall be given to the number of personnel affected in order that there shall be no disruptions of employer's operations due to lack of available employees.
