Confidentiality and Non-Compete Agreements. As a condition of employment, you will be required to sign the Company’s standard employment agreement (the “Standard Agreement” copy attached), which includes agreements regarding the confidentiality of Company information and non-competition, and similar provisions. To the extent that the terms of the Standard Agreement differ from the terms of this letter agreement, the terms of this letter agreement (and not the Standard Agreement) shall control your employment relationship with the Company. In addition, the provisions of item 5 of the Standard Agreement are not applicable to the terms of this letter agreement, in that the Standard Agreement does not supersede any terms of this agreement.
Confidentiality and Non-Compete Agreements. Seller has (i) assigned to Purchaser any and all rights of Seller under any confidentiality agreement covering confidential information concerning Seller's business or the Subject Assets and under any non-compete or similar agreement in favor of Seller restricting activities competitive with those of Seller's business, (ii) provide Purchaser with a list of such agreements and (iii) deliver copies of such agreements of Purchaser.

Notwithstanding any other agreement executed by the parties or the termination of the Employment Agreement, the parties acknowledge that the Confidentiality and Non Compete Agreements shall remain in full force and effect. The parties further acknowledge that the mediation and remedy provisions contained in paragraph 4 and 5 of the Covenant Not To Compete and paragraph 7 and 8 of the Confidentiality/Waiver of Interest Agreement respectively, are the dispute resolution and remedy provisions that govern the parties under the Confidentiality and Non Compete Agreements. To this extent, Section 12 of this Agreement shall not be applicable to the Confidentiality and Non Compete Agreements.
Confidentiality and Non-Compete Agreements. The Corporation shall ensure that all employees of the Corporation enter into appropriate employment contracts containing appropriate confidentiality, non-compete and non-solicit covenants that are acceptable to the Board.
