Confidentiality and Other Agreements. None of the confidentiality agreements or standstill agreements the Company has entered into with any third party (or any agent thereof) that is in effect on the date hereof contains any exclusivity or standstill provisions that are or will be binding on the Company, any of its Subsidiaries or, after the Effective Time, Parent or any of its Subsidiaries.
Confidentiality and Other Agreements. As a condition to the Company's ------------------------------------ performance of its obligations hereunder, Executive shall enter into and execute contemporaneously with the execution hereof, those agreements attached hereto as Exhibit 7(a).
Confidentiality and Other Agreements. You expressly acknowledge and agree to the following:
(a) that, on the date your employment with the Company is terminated, you will promptly return to the Company all Company documents (and any copies thereof) and property. Further, you agree that you will abide by any agreements regarding confidentiality or other post-employment obligations.
(b) that you will not make any statements that are professionally or personally disparaging about, or adverse to, the interests of the Company (including its officers, directors, employees and consultants) including, but not limited to, any statements that disparage any person, product, service, finances, financial condition, capability or any other aspect of the business of the Company, and that you will not engage in any conduct which could reasonably be expected to harm professionally or personally the reputation of the Company (including its officers, directors, employees and consultants); likewise, the senior management of the Company shall not make any such disparaging remarks about you.
Confidentiality and Other Agreements. 7.1. Xxxxxxx acknowledges and agrees that he has a continuing obligation to protect the Company's Confidential Information according to the terms and conditions of the Employment Agreement and continues to be bound by Exhibit A of the Employment Agreement.
7.2. Xxxxxxx agrees to keep confidential the terms of this Agreement and agrees to refrain from disclosing any information regarding this Agreement to any third party, unless required to do so (a) by a regulatory body (e.g. filings with the Securities Exchange Commission ("SEC"); (b) in financial disclosures to auditors or in audited financial statements; (c) under oath, if properly ordered, in a court of competent jurisdiction; (d) to his wife; or (e) previously disclosed publicly by the Company to the extent so disclosed. Employee agrees to notify the Company in writing upon first notification that he may be required by law to disclose any information deemed confidential by this Agreement. Notice must be provided in sufficient time for the party receiving notice to oppose or otherwise respond to the request.
7.3. Xxxxxxx agrees that he will not interfere with or otherwise act adverse to the business affairs of the Company, including, without limitation, making disparaging remarks, either orally or in writing, to any person concerning the Company or the Company's business.
Confidentiality and Other Agreements. (a) The Company ------------------------------------- has no confidentiality agreement or standstill agreement with any third party with respect to a Company Takeover Proposal by such third party (each, a "Company Confidentiality Agreement") in effect as of the date of this Agreement ---------------------------------- that has not been provided to Parent or Sub, other than those Company Confidentiality Agreements that are prohibited by their terms from being disclosed to Parent or Sub.
(b) Except as set forth in the Company Disclosure Letter, none of the Company or any of its subsidiaries is subject to any noncompetition or similar agreement that prohibits or restricts the Company or any of its affiliates from engaging in any business or other activities.

(b) Neither the Company nor any of its Subsidiaries is a party to any agreement that would expressly and materially limit the ability of Parent or any Subsidiary of Parent, after the Effective Time, to compete in or conduct any line of business or compete with any Person or in any geographic area or during any period of time.

Confidentiality and Other Agreements. Xxxxxx will continue to be bound by the terms of any confidentiality, non-competition, non-solicitation and assignment of intellectual property rights agreements previously entered into between Xxxxxx and the Company.
Confidentiality and Other Agreements. 6.1 XxXxxxx acknowledges and agrees that he has a continuing obligation to protect the Company's Confidential Information according to the terms and conditions of the Company's Confidentiality and Invention Agreement ("CONFIDENTIALITY AGREEMENT") which he signed on November 11, 1996. A copy of the Confidentiality Agreement is attached as Exhibit B.
