Common use of Confidentiality of Reports Clause in Contracts

Confidentiality of Reports. Each party agrees that the information set forth in (i) the reports required by Sections 7.1 and 7.2 and (ii) the records subject to examination under Section 7.3, shall be subject to Section 12 hereof and maintained in confidence by the receiving party and any independent accounting firm selected by such party, shall not be used by such party or such accounting firm for any purpose other than verification of the performance by the other party of its obligations hereunder, and shall not be disclosed by the receiving party or such accounting firm to any other person except for purposes of enforcing this Agreement.

Confidentiality of Reports. Each party agrees that the information set forth in (ia) the reports required by Sections 7.1 8.1 and 7.2 8.2, and (iib) the records subject to examination under Section 7.38.3, shall be subject to Section 12 13 hereof and maintained in confidence by the receiving party and any independent accounting firm selected by such party, shall not be used by such party or such accounting firm for any purpose other than verification of the performance by the other party of its obligations hereunder, and shall not be disclosed by the receiving party or such accounting firm to any other person except for purposes of enforcing this Agreement. ---------- *[***] indicates confidential treatment for omitted text has been requested.

Each party agrees that that: (a) the information set forth in (i) the reports required by Sections 7.1 2.6, 5.10 and 7.2 5.11; and (iib) the records subject to examination under Section 7.3, 5.11; shall be subject to Section 12 hereof the obligations of confidentiality set out in Article 9 and shall be maintained in confidence by the receiving party and by any independent accounting firm selected by such party, shall not be used by such party or such accounting firm for any purpose other than verification of the performance by the other party of its obligations hereunder, and shall not be disclosed by the receiving party or such accounting firm to any other person except for purposes of enforcing this Agreement.. 5.14

Each party agrees that the information set forth in (i) the reports required by Sections 7.1 6.1 and 7.2 6.2 and (ii) the records subject to examination under Section 7.36.3, shall be subject to Section 12 11 hereof and maintained in confidence by the receiving party and any the applicable independent accounting firm selected by such partyfirm, shall not be used by such party or such accounting firm for any purpose other than verification of the performance by the other party of its obligations hereunderpayments due under this Agreement, and shall not be disclosed by the receiving party or such accounting firm to any other person except for purposes of enforcing this Agreement, and except as allowed under Section 11.
