Conflicts Committees. In addition to any other approvals required by the parties under this Agreement, any waiver, amendment, termination or assignment of rights permitted by this Agreement must be approved, in the case of WPZ, by the WPZ Conflicts Committee. Conflicts Committees. (a) Prior to the Effective Time, none of the MLP Entities shall, without the consent of the MLP Conflicts Committee, eliminate the MLP Conflicts Committee, or revoke or diminish the authority of the MLP Conflicts Committee, or remove or cause the removal of any director of the MLP Managing GP Board that is a member of the MLP Conflicts Committee either as a member of the MLP Managing GP Board or the MLP Conflicts Committee, without the affirmative vote of the members of the MLP Managing GP Board, including the affirmative vote of the other members of the MLP Conflicts Committee. For the avoidance of doubt, this Section 5.16(a) shall not apply to the filling of any vacancies caused by the death, incapacity or resignation of any director in accordance with the provisions of the MLP Partnership Agreement.

Prior to the earlier of the Effective Time and the termination of this Agreement, none of the WMLP Parties, the TMLP Parties or any of their Subsidiaries shall eliminate the WMLP Conflicts Committee or the TMLP Conflicts Committee, or revoke or diminish the authority of the WMLP Conflicts Committee or the TMLP Conflicts Committee, or remove or cause the removal (without cause) of any director of the WMLP Board or TMLP Board that is a member of the WMLP Conflicts Committee or the TMLP Conflicts Committee either as a member of such board or such committee, without the affirmative vote of the TMLP Board or WMLP Board, as applicable, including the affirmative vote of a majority of members of the applicable conflicts committee. For the avoidance of doubt, this Section 7.15 shall not apply to the filling of any vacancies caused by the death, incapacity or resignation of any director.

Prior to the Effective Time, none of the WPZ Group Entities or the ACMP Group Entities shall, without the consent of the WPZ Conflicts Committee or the ACMP Conflicts Committee, as applicable, eliminate the WPZ Conflicts Committee or the ACMP Conflicts Committee, or revoke or diminish the authority of the WPZ Conflicts Committee or the ACMP Conflicts Committee, or remove or cause the removal of any director of the WPZ Board or ACMP Board that is a member of the WPZ Conflicts Committee or the ACMP Conflicts Committee either as a member of such board or such committee without the affirmative vote of the members of the WPZ Board or ACMP Board, as applicable, including the affirmative vote of the other members of the applicable conflicts committee. For the avoidance of doubt, this Section 5.15 shall not apply to the filling in accordance with the provisions of the applicable Governing Documents of any vacancies caused by the death, incapacity or resignation of any director.

For the avoidance of doubt, this Section 5.21 shall not apply to the filling of any vacancies caused by the death, incapacity or resignation of any director in accordance with the provisions of the organizational documents of the General Partner.

For the avoidance of doubt, this Section 5.15(a) shall not apply to the filling of any vacancies caused by the death, incapacity or resignation of any director in accordance with the provisions of the RMP GP Agreement.

For the avoidance of doubt, this Section 7.15 shall not apply to the filling of any vacancies caused by the death, incapacity or resignation of any director.
