Construction Rules. Each party represents that its has been represented by and relied on the advice of counsel of its choice in the negotiation and drafting of the Agreement. The parties affirm that their respective counsel have had a substantial role in the drafting and negotiation of this Agreement and, therefore, the rule of construction that any ambiguities are to be resolved against the drafting party shall not be employed in the interpretation of this Agreement or any Schedule attached hereto.

Construction Rules. (a) A reference to an Article, Section or Schedule shall mean an Article or Section of, or a Schedule to, this Agreement unless otherwise explicitly set forth. The titles and headings herein are for reference purposes only and shall not in any manner limit the construction of this Agreement which shall be considered as a whole. (b) The words “include,” “includes” and “including” when used in this Agreement shall be deemed in each case to be followed by the words “without limitation.” (c) The words “hereof,” “herein” and “herewith” and words of similar import will, unless otherwise stated, be construed to refer to this Agreement as a whole and not to any particular provision of this Agreement. (d) The word “or” when used in this Agreement will not be exclusive. (e) Words in the singular when used in this Agreement will be held to include the plural. (f) Unless specifically stated otherwise, all dollar amounts referred to in this Agreement or required to be paid pursuant to this Agreement are expressed in and shall be paid in United States Dollar funds.

Any reference to a section number in this Agreement shall mean the section number in this Agreement unless otherwise expressly stated. All exhibits attached to this Agreement are hereby incorporated by reference, and any reference to an exhibit in this Agreement shall mean the exhibit attached to this Agreement unless otherwise expressly stated. The words “hereof,” “herein” and “hereunder” and words of similar import referring to this Agreement refer to this Agreement as a whole and not to any particular provision of this Agreement.

Construction Rules. Tenant will abide by and cause its General Contractor, subcontractors, agents and employees to abide by the Construction Rules and Regulations and the Site Specific Construction Rules and Regulations available to Tenant on the Center’s website (collectively, the “Construction Rules and Regulations for the Center”), including, but not limited to, those pertaining to construction fees and charges, parking, toilet facilities, safety conduct, delivery of materials and supplies, employee egress to the Center, trash storage or collection or removal and cooperation with Landlord’s architect, General Contractor and subcontractors or other agents.
Construction Rules. If any provision of this Agreement is held to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions will not in any way be affected or impaired, and such provision will be deemed to be restated to reflect the original intentions of the Parties as nearly as possible in accordance with applicable law. The Parties agree that this Agreement is an executory contract as contemplated by 11 U.S.C. Section 365. In performing its obligations under this Agreement, neither Party will be required to undertake any activity that would conflict with the requirements of any applicable law, rule, regulation, interpretation, judgment, order or injunction of any Governmental Authority. This Agreement may be executed in multiple counterparts, each of which will be deemed an original and all of which taken together will constitute one instrument. The Parties acknowledge and agree that each has been represented by legal counsel of its choice throughout the negotiation and drafting of this Agreement, that each has participated in the drafting hereof and that this Agreement will not be construed in favor of or against either Party solely on the basis of a Party's drafting or participation in the drafting of any portion of this Agreement.
Construction Rules. Owner acknowledges and agrees that Owner and Builder must comply with the construction rules attached hereto as Exhibit “B” (the “Construction Rules”). While the Owner may not be performing construction activities on the Property, the Owner is responsible for ensuring that the Builder and the Builder’s contractors comply with the Construction Rules, the Restrictions, and the applicable Approval and Construction Requirements. Failure to comply with the Construction Rules, the Restrictions, and the Approval and Construction Requirements by the Owner or the Builder may result in fines, penalties, or other costs charged against the Owner. In addition to fines, penalties, or other costs charged against an Owner for a Builder or the Builder’s subcontractors failure to comply with the Construction Rules, the Restrictions, and/or the Approval and Construction Requirements, the ACC or the Association may deny a Builder or Builder’s sub-contractor access to the Development.
