CONSULTANT QUALIFICATION. 4.1. In order to become a Consultant, an individual must participate and complete RiT's 3-day PatchView Training Seminar (hereinafter "Seminar"). 4.2. In order to qualify for the Seminar, the individual must be an engineer or an experienced technician with Microsoft Windows experience. It is highly recommended that he have a background in TCP/IP and SNMP protocols and experience with installation of Network Interface Cards. 4.3. The Consultant qualification will be renewed every two years, pending participation in an updating seminar.

CONSULTANT QUALIFICATION. Consultant will use its best efforts to maintain and preserve in full force and effect and will take no action to jeopardize the continuing validity of its Qualification. Owner agrees to cooperate reasonably with Consultant's efforts to maintain and preserve its Qualification, all at the cost and expense of Consultant. Consultant acknowledges that its maintaining and preserving its Qualification is of critical importance to Owner and that Owner is entering into this Agreement in reliance on Consultant's agreement to maintain its Qualification. Any failure to maintain and preserve its Qualification will constitute Consultant's breach of this Agreement. Without limiting the foregoing, Consultant shall, prior to 27 June 2005, provide Owner with a copy of its business license which has a validity period until 27 March 2015 and which specifies an approved business scope which is the same as that specified in the business license No. 0495538 granted to Consultant on 28 March 2005.
CONSULTANT QUALIFICATION. ACE requires a consulting service provider or technical experts with proven experience and capacity to provide the necessary tasks, outputs/deliverables as described above. ▪ The expertise of the firm/organisation: The consulting service provider or technical experts should demonstrate proven records of delivery for similar tasks/products over the most recent five years. Bidders are to attest their expertise by submitting, e.g., reports, studies, analyses, consultancy products, research analyses, and data management related to the aim of the consultancy. ▪ Team capabilities: The team involves a senior consultant/team lead with more than 10 years of experience in either 1) global and/or ASEAN energy security policy expert, and/or 2) ASEAN natural gas landscape expert, with the support of an adequately skilled team. Bidders to submit CVs. o The team must consist of at least one (1) regional (ASEAN) expert and one (1) international expert who has a portfolio of working in policy/strategy development for natural gas security policies and mechanisms. o Regional expert has experience in the ASEAN energy landscape and has done policy-related work in at least three ASEAN countries. o International expert with international experience in assisting/establishing/being involved in the development of petroleum security strategy/ roadmap/ similar analysis work at the international level. ▪ Excellent command of English and the capacity to write high-quality reports in the language; the ability to deliver high-quality workshops and discussions in English is also required. ▪ Capacity and flexibility to complete the assignment within the required time frame.

  • Tax Qualification Each Employee Benefit Plan intended to be qualified under Section 401(a) of the Code has been determined to be so qualified by the Internal Revenue Service and nothing has occurred since the date of the last such determination which resulted or is likely to result in the revocation of such determination.

  • REIT Qualification The Company will use its best efforts to continue to meet the requirements for qualification and taxation as a REIT under the Code, subject to any future determination by the Company’s board of directors that it is no longer in the Company’s best interests to qualify as a REIT.

  • Foreign Qualification Prior to the Company’s conducting business in any jurisdiction other than Delaware, the Majority Members shall cause the Company to comply, to the extent procedures are available and those matters are reasonably within the control of the Majority Members, with all requirements necessary to qualify the Company as a foreign limited liability company in that jurisdiction.

  • Professional Qualifications It shall be a condition of continued professional employment that employees must apply for enrolment in their appropriate professional licensing body by the thirtieth day of continuous service.

  • Organization; Qualification The Company is a corporation duly organized and validly existing under the laws of the State of Delaware and is in good standing under such laws. The Company has all requisite corporate power and authority to own, lease and operate its properties and assets, and to carry on its business as presently conducted. The Company is qualified to do business as a foreign corporation in each jurisdiction in which the ownership of its property or the nature of its business requires such qualification, except where failure to so qualify would not have a material adverse effect on the Company.

  • Due Qualification Seller is duly qualified to do business as a foreign corporation, is in good standing, and has obtained all necessary licenses and approvals in all jurisdictions in which the ownership or lease of its property or the conduct of its business requires such qualification.

  • Nasdaq Qualification The Shares to be issued shall be duly authorized for listing by Nasdaq, subject to official notice of issuance, to the extent required by the rules of Nasdaq.

  • STAFF QUALIFICATIONS CONTRACTOR shall ensure that all individuals employed, contracted, and/or otherwise hired by CONTRACTOR to provide classroom and/or individualized instruction or related services hold a license, certificate, permit, or other document equivalent to that which staff in a public school are required to hold in the service rendered consistent with Education Code section 56366.1(n)(1) and are qualified pursuant to Title 34 of the Code of Federal Regulations sections 200.56 and 200.58, and Title 5 of the California Code of Regulations sections 3001(y), 3064 and 3065. Such qualified staff may only provide related services within the scope of their professional license, certification or credential and ethical standards set by each profession, and not assume responsibility or authority for another related services provider or special education teacher’s scope of practice. CONTRACTOR shall ensure that all staff are appropriately credentialed to provide instruction and services to students with the disabling conditions placed in their program/school through documentation provided to the CDE (5 CCR 3064 (a)).

  • Listing, Qualification, Etc This option shall be subject to the requirement that if, at any time, counsel to the Company shall determine that the listing, registration or qualification of the shares subject hereto upon any securities exchange or under any state or federal law, or the consent or approval of any governmental or regulatory body, or that the disclosure of non-public information or the satisfaction of any other condition is necessary as a condition of, or in connection with, the issuance or purchase of shares hereunder, this option may not be exercised, in whole or in part, unless such listing, registration, qualification, consent or approval, disclosure or satisfaction of such other condition shall have been effected or obtained on terms acceptable to the Board of Directors. Nothing herein shall be deemed to require the Company to apply for, effect or obtain such listing, registration, qualification or disclosure, or to satisfy such other condition.

  • Audit qualification The Auditors of the Group qualify the audited annual consolidated financial statements of the Borrower.
