Consulting Services and Fees a. MCS shall perform the services for Company specified on one or more Work Orders in the form attached hereto as Exhibit A that are agreed upon by the parties in writing from time to time. Nothing in this Agreement shall obligate either party to enter into any Work Order. MCS consultants will be required to attend MS events and various training programs from time to time, and Company services shall be scheduled accordingly.

Consulting Services and Fees. Subject to the terms and conditions of the consulting agreement entered into by and between Bxxxxxxxxx Pxxxxxxxxxx, LLC (“Bxxxxxxxxx”) and Clear-Lite Holdings, Inc (the “Consulting Agreement”), the Company hereby acknowledges that it shall retain Bxxxxxxxxx, an accounting and consulting firm where Dxxxx Xxxxxxx works as a senior consultant, to provide consulting services and shall pay Bxxxxxxxxx compensation for such services rendered by the Executive and Bxxxxxxxxx in the amount as provided in the Consulting Agreement. The termination of the consulting services shall be subject to the terms and conditions of the Consulting Agreement or such other agreements the Company and Bxxxxxxxxx will enter into hereafter, and shall not be terminated upon any event of Early Termination as provided in Section 4 herein.

Consulting Services and Fees. Pursuant to this consulting arrangement, you will consult with and advise the Company from time to time, as reasonably requested by the Company (the “Consulting Services”).   • Transition Services The Purchasers will provide to the Sellers termination assistance as reasonably requested in order to provide an orderly transition following the termination of the Agreement (or any portion thereof), and the Sellers will provide to the Purchasers reasonable cooperation and assistance in connection therewith. In connection with this transition assistance, the Purchasers and Sellers will reasonably cooperate in the transition of the Services from the Purchasers to any Replacement Provider.
