Contestation of Taxes. Tenant shall pay to Landlord, as part of Operating Expenses, its proportionate share of all fees and expenses incurred by Landlord with respect to the contestation of the Taxes or of the assessment of the Building, including without limitation legal, appraisal, administration and overhead expenses. The Taxes which shall be contested by Landlord shall nevertheless be paid by Tenant in accordance with Section 5.2 of this Lease, provided however that if Tenant has paid its proportionate share of such contested Taxes and that Landlord receives as a result of such contestation a reimbursement of those Taxes, Landlord shall reimburse to Tenant an appropriate portion of such reimbursement, after having deducted those expenses which shall not have been already charged to Tenant. Landlord shall have no obligation to contest, object to or to litigate the levying or imposition of any Taxes and may settle, compromise, consent to, waive or otherwise determine in its discretion any Taxes without notice to, consent or approval of Tenant.

Contestation of Taxes. The Lessor shall have no obligation to contest, litigate, or object the levying or imposition of any Taxes. The Lessor may, at its sole discretion, without notice to, consent, or approval of the Lessee, compromise, accept, consent to, waive or decide otherwise in all matters concerning the Taxes. The present Article may at no time be construed so as to reduce the monthly rental to an amount lower than the amount stipulated in these presents.
Contestation of Taxes. The Tenant shall have at any time the right to contest any Taxes, rates (including local improvement rates), duties, licence fees, assessments and other similar or substitute charges against the portions of the Stadium Component, provided that (i) such contestation will not involve any forfeiture, foreclosure, escheat, sale or termination of the Landlord’s title to the Stadium Component or any part thereof or constitute a bona fide risk to the Landlord’s title, (ii) all such proceedings shall be prosecuted with all due diligence and dispatch, and (iii) the amount in dispute shall be paid to the applicable Authority or into a court having proper jurisdiction, as the Tenant may elect, unless the postponement of the payment of the amount in dispute is permitted under applicable Law until the dispute is determined. The Tenant will pay the cost of any such contestation and also pay all proper costs, penalties, interest or other charges payable as a result of or incidental to such contestation.
Contestation of Taxes. Landlord shall have no obligation to contest, appeal, object to or litigate the levying or imposition of Taxes and/or any valuation imposed with respect thereto, and Landlord may settle, compromise, consent to, waive or otherwise determine, in its sole discretion, all matters and things relating thereto. Tenant may, upon the reasonable consent of Landlord, contest, appeal, object to or litigate the levying or imposition of real estate taxes. In the event that Landlord should contest any Taxes and thereafter receive a refund of any portion thereof, and provided Tenant shall have paid its Proportionate Share of said Taxes, the Landlord shall reimburse to the Tenant the Tenant's Proportionate Share of such refund.

  • Proration of Taxes For purposes of this Agreement, in the case of any Straddle Period, (a) Property Taxes for the Pre-Closing Tax Period shall be equal to the amount of such Property Taxes for the entire Straddle Period multiplied by a fraction, the numerator of which is the number of days during the Straddle Period that are in the Pre-Closing Tax Period and the denominator of which is the number of days in the entire Straddle Period, and (b) Taxes (other than Property Taxes) for the Pre-Closing Tax Period shall be computed as if such taxable period ended as of the close of business on the Closing Date.
