Overhead Expenses. The Issuers shall allocate fairly and reasonably overhead expenses, if any, that are shared with an Affiliate, including paying for office space and services performed by any employee of an Affiliate.

Overhead Expenses. It is the parties' intention that overhead expenses ----------------- be kept as low as reasonably possible. General overhead expenses shall include all customary expenses of a general and administrative nature, and in particular shall include the cost of the Company's full-time employees responsible for business management, marketing and service, the negotiation of contracts and the organization of financial controls for the Company, and the cost of the Service Agreement. Legal expenses shall be included in overhead, and where such legal expenses of the Company are incurred by a party hereto for the benefit of the Company, they may be charged back to the Company by such party, provided that no such expenses in excess of FF 50,000 may be charged back by either party in any one year without the prior majority consent of the Board. Notwithstanding the foregoing, all reasonable operating expenses already incurred on behalf of the Company by the parties prior to its formation shall be charged back to the Company by and reimbursed to each party. However, legal expenses incurred by each party in connection with the preparation of this Agreement and otherwise in connection with the formation of the Company and the setting up of its activities shall be borne by the party concerned, except for expenses incurred for the incorporation of the Company which shall be borne in equal shares by the parties.

Overhead Expenses. Overhead Expenses, including all overhead related to relevant business and corporate functions, are and will be allocated to all product lines. Corporate functions that are not associated with those product lines, such as business development, marketing, and sales are excluded. Expenses for the remaining business and corporate support functions are totaled and then allocated to the product lines based on reserves.
Overhead Expenses. The Management Fee shall be deemed in part to constitute reimbursement to the Company for costs and expenses incurred by the Company for services which are performed by personnel located at its corporate headquarters, which services include executive supervision, management, consulting, policy making, corporate finance, personnel and employee relations and benefit administration, legal services, research and development not otherwise allocated among specific matters in the Company's operation, and the services of its technical, operational and marketing experts making periodic inspection and consultation visits to the Hotel Condominium Project.
Overhead Expenses. An allocable portion of all overhead expenses incurred by CNG for operation of the Office Facilities, including but not limited to, office supplies, rent paid by CNG for the Office Facilities, janitorial expense, repair and maintenance expense, telephone expense, utility expense, equipment rental, copier lease expense, premises liability insurance, and any and all other expenses reasonably necessary to the operation of the Office Facilities by CNG which cannot be directly attributed to BCR or any other party. For purposes of this paragraph 1(e), an "allocable portion" shall mean that portion of such expenses which are attributable to BCR's usage of the Office Facilities or the services of CNG's employees, as the case may be.
