Continuing Provisions. Sections 5.2, 5.4, 5.6, 6, 7, 9, 11, 17 and this Section 18 of this Agreement shall survive the expiry or termination of this Agreement.
Continuing Provisions. The representations and warranties of the Company and the Standby Purchaser set forth in this Agreement shall be true and correct in all material respects only as of the date of this Agreement and as of the Closing Date. All of the covenants, agreements and obligations of each of the Company and the Standby Purchaser required to be performed by the Closing Date shall have been duly performed and complied with by the Closing Date unless such performance shall have been waived in writing by the Company or the Standby Purchaser, as the case may be. The respective representations, warranties, covenants, agreements and obligations of the parties to this Agreement shall survive the Closing Date.
Continuing Provisions. Notwithstanding the termination of this Agreement under Article 2, the provisions of Sections 2.5, 2.6, 2.7 and 2.8 and Article 3 and all other provisions hereof which by their terms are to be performed following the termination hereof shall survive such termination and be continuing obligations, and all rights of the Executive to compensation and benefits which have accrued prior to such termination shall remain payable and enforceable regardless of such termination.
Continuing Provisions. 25.1. The clauses in this Contract that are capable of surviving the expiry or termination of this Contract will continue beyond the termination or expiry of this Contract.
Continuing Provisions. 32.1. The termination of this Agreement shall not affect the provisions of clause 17 (Confidentiality), clause 18 (Group Property), clause 26 (Change of Duties and Garden Leave during any period of notice), clause 27 (Events on Termination) and clause 28 (Restrictions after Termination of Employment) of this Agreement.
Continuing Provisions. Termination of the Term of Employment will not terminate Sections 7, 8, 9, 10, 12 through 24, and related definitions, or any other provisions not associated specifically with the Term of Employment.
Continuing Provisions. Any provision of this Agreement which expressly or by implication is intended to continue in force after termination shall do so notwithstanding termination or expiry of this Agreement.
Continuing Provisions. Notwithstanding anything to the contrary ---------------------- contained herein, the provisions concerning confidentiality, indemnification, contribution and the Corporation's obligations to pay fees and pay or reimburse expenses contained herein and in the indemnification provisions hereof will survive any such expiration or termination of this Agreement. 38.
Continuing Provisions. The provisions of the Original Agency Agreement shall, except as expressly amended by this Agreement, continue in full force and effect in accordance with its terms.
Continuing Provisions. Sections 5.2 (Resignation Costs), 5.4 (Removal Costs), 5.6 (Co-Operation) and 16.2 (Non-Petition) as well as Article 6 (Fees), Article 8 (Confidentiality), Article 10 (Liability), Article 11 (Further Provisions), Article 17 (Exclusion of Third Party Rights), Article 20 (Entire Agreement) and Article 22 (Governing Law) of this Agreement will survive the expiry or termination of this Agreement.
