Contract Documents and Exhibits. This Agreement includes the Request for Proposal and Consultant’s accepted proposal (“Contract Documents”), both of which are on file with the City and incorporated herein by this general reference as though fully set forth herein. Exhibit A (Scope of Services), Exhibit B (Special Requirements), Exhibit C (Schedule of Compensation), and Exhibit D (Schedule of Performance) also constitute a part of this Agreement and are incorporated into this Agreement by this reference. Except as set forth in Section 1.10 regarding Exhibit B, this Agreement controls over the Contract Documents and the provisions in Exhibits A, B and C.
Contract Documents and Exhibits. The Contract Documents shall consist of the Original Agreement, First Amendment, Second Amendment, and this Third Amendment together with the following: Exhibit A: Contractor’s 2024 Pavement Resurfacing Pricing; Exhibit B: 2024 Map Overlays; and Exhibit C: The City of Arvada’s 2023 Engineering Code of Standards and Specifications (not attached due to its voluminous nature but incorporated herein by reference). All exhibits referred to in this Third Amendment are attached hereto and are, by reference, incorporated herein for all purposes. In the event any matter, term, provision, or condition that is the subject of this Third Amendment requires clarification or is in dispute, or is the subject of a difference of opinion, the purpose and intent of the Third Amendment shall be first ascertained by reference to the Contract Documents in their entirety. In the event of any dispute or differences between the respective documents that constitute the Contract Documents, then Contractor shall secure the written instructions from Arvada before proceeding with the performance of the services affected by such conflicts, omissions, or discrepancies.

In the event that there is a conflict between this Agreement and Exhibit E, the provisions in Exhibit E prevail.
