Contract Documents and Exhibits. This Agreement includes the Request for Proposal and Consultant’s accepted proposal (“Contract Documents”), both of which are on file with the City and incorporated herein by this general reference as though fully set forth herein. Exhibit A (Scope of Services), Exhibit B (Special Requirements), Exhibit C (Schedule of Compensation), and Exhibit D (Schedule of Performance) also constitute a part of this Agreement and are incorporated into this Agreement by this reference. Except as set forth in Section 1.10 regarding Exhibit B, this Agreement controls over the Contract Documents and the provisions in Exhibits A, B and C.

Contract Documents and Exhibits. City selected Services Provider to supply the Goods and Services as outlined in RFP Solicitation Number 24-017; and Proposal submitted by Services Provider, all as specified in Exhibit “A.” The intent of these documents is to formulate an Agreement listing the responsibilities of both parties as outlined in the RFP and as offered by Services Provider in its Proposal. The Goods and Services which are the subject matter of this Agreement are described in the RFP and Exhibit “A” and, together with this Agreement, comprise the total Agreement and they are fully a part of this Agreement as if repeated herein in full.

Contract Documents and Exhibits. The term “contract documents” consist of this contract together with the following: Exhibit A Request for Proposal Exhibit B Contractor’s Response Exhibit C Notice of Award Exhibit D General Conditions Exhibit E Drawings and Specifications Exhibit F Special Conditions (if applicable). All exhibits referred to in this contract are attached hereto and are, by reference, incorporated herein for all purposes. In the event any matter, term, provision, or condition that is the subject of this contract requires clarification or is in dispute, or is the subject of a difference of opinion, the purpose and intent of the contract shall be first ascertained by reference to the contract documents in their entirety. In the event of any dispute or differences between the respective documents that constitute the contract documents, then the contractor shall secure the written instructions from the city before proceeding with the performance of the services affected by such conflicts, omissions or discrepancies.

In the event that there is a conflict between this Agreement and Exhibit E, the provisions in Exhibit E prevail.

  • Exhibits and Schedules The Exhibits and Schedules shall be construed with and as an integral part of this Agreement to the same extent as if the same had been set forth verbatim herein.

  • Incorporation of Schedules and Exhibits The schedules, attachments and exhibits referenced in and attached to this Agreement shall be deemed an integral part hereof to the same extent as if written in whole herein. In the event that any inconsistency or conflict exists between the provisions of this Agreement and any schedules, attachments or exhibits attached hereto, the provisions of this Agreement shall supersede the provisions of any such schedules, attachments or exhibits.
