CONTRACTOR’S COOPERATION/CLOSE-OUT. The Contractor has the duty to fully cooperate with the State and provide any and all requested information, documentation, etc. to the State when requested. This applies even if this Agreement is terminated and/or a lawsuit is filed. Specifically, the Contractor shall not limit or impede the State’s right to audit or to withhold State owned documents.

CONTRACTOR’S COOPERATION/CLOSE-OUT. The Contractor has the duty to fully cooperate with the State and provide any and all requested information, documentation, etc. which is directly related to this Participating Addendum or an order issued against it, to the State when reasonably requested. This applies even if this Participating Addendum, State Contract Number 4400019304, or any order issued pursuant to State Contract Number 4400019304 is terminated and/or a lawsuit is filed. Specifically, the Contractor shall not limit or impede the State's right to audit or to withhold State owned documents.

Any such agreement or document must not be construed to deprive the State of its sovereign immunity, or of any legal requirements, prohibitions, protections, exclusions or limitations of liability applicable to this Contract or afforded to the State by Minnesota law. A State employee’s decision to choose “accept” or an equivalent option associated with a “click- through” agreement does not constitute the State’s concurrence or acceptance of terms, if such terms are in conflict with this section.   • Contractor’s Staff 1. The Contractor shall maintain adequate staff to meet the Contractor’s obligations under this Agreement.
