In the event that the Town terminates this Agreement due to the Contractor's poor workmanship, failure to perform the Service set out herein or, otherwise, for breach of the Agreement, or in the event that the Contractor terminates this agreement for convenience or otherwise, the Town may pursue and recover all remedies available at law or in equity, as these remedies are cumulative and do not exclude each other.

  • SETTLEMENT AND OTHER EXPENSES A. The following expenses must be paid at or prior to closing:

  • Fees and Other Charges (a) The Borrower will pay a fee on all outstanding Letters of Credit at a per annum rate equal to the Applicable Margin then in effect with respect to Eurodollar Loans under the Revolving Facility, shared ratably among the Revolving Lenders and payable quarterly in arrears on each Fee Payment Date after the issuance date.
