Cooperate. VicForests and the Contractor agree to cooperate and liaise with the other in good faith so that the Agreement operates effectively throughout the Term. In particular, the Parties shall use their reasonable efforts and act in good faith to resolve any matter between them arising out of or in respect to this Agreement without resorting to the process under clause 19.

Lessons or programs offered through the Bike Park will also assist the rider in managing the risk of injury. TO: CALGARY OLYMPIC DEVELOPMENT ASSOCIATION, operating as WinSport, and its directors, officers, employees, instructors, guides, agents, representatives, volunteers, independent contractors, subcontractors, sponsors, successors and assigns, and all organizers, officials, workers, participants, sponsors, promoters and advertisers involved with mountain biking at WinSport (all of whom are hereinafter collectively referred to as the “Releasees”).
Cooperate. IF Landlord confirms the presence or infestation of bed bugs. Resident must cooperate and coordinate with Landlord and Landlord’s pest control agents to treat and eliminate the bed bugs. Resident must follow all direction from Landlord or Landlord’s agents to clean and treat the dwelling and building that are infested. IF Landlord confirms the presence or infestation of bed bugs in your Premises, Landlord has the right to require Resident to temporarily vacate the Premises and remove all furniture, clothing, and personal belongings in order for landlord to perform pest control services. If Resident fails to cooperate with Landlord, Resident will be in default, and Landlord will have the right to terminate Resident’s rental agreement.

If either Provider or Passport has a claim, dispute, or other matter in question for breach of duty, obligations, services rendered or any warranty that arises under this Agreement, the Parties Agree to cooperate to achieve a mutually beneficial resolution of such matter. If after sixty (60) days the dispute remains unresolved, the parties may pursue other remedies. Passport is an independent contractor and not an agent or employee of Provider. No agency, partnership, franchise, joint venture, or employment relationship exists between Passport and Provider. Passport’s employees and agents will not be employees or agents of Provider. Passport shall be fully and solely responsible for the supervision, control, performance, compensation, benefits (including, without limitation, all forms of insurance) withholdings, health and safety of all of its employees and agents. Provider will not be responsible or liable for any withholding taxes or contributions to state worker’s compensation, unemployment or other funds or programs.

CSU’s and the City’s good faith efforts to reasonably communicate with each other and use reasonable efforts to take such steps as may be reasonably necessary to effectuate and implement the terms and conditions of this Agreement. For clarification, “Cooperate” will not include any obligation to incur liability or to retain or to utilize any third party consultants (including experts, advisors, or outside counsel).
