Cooperation and Expenses. In the event one Party shall initiate or carry on legal proceedings to enforce any Patent Rights against any alleged infringer, the other Party shall fully cooperate with and supply all assistance reasonably requested by the Party initiating or carrying on such proceedings. Cooperation and Expenses. The parties shall cooperate and provide each other with all information and assistance reasonably required for completion of each Project. The parties anticipate that all costs and expenses for a Project will be borne by the Company and addressed in the Statement of Work for such Project. Notwithstanding the foregoing, nothing in this ARTICLE 2 shall create an affirmative obligation of either party to this Agreement to license to the other party to this Agreement any Pre-Existing Intellectual Property, the licensing of such Pre-Existing Intellectual Property being within the good faith discretion of the parties hereto based on the perceived efficacy of the same in developing proposals for joint development, the disclosing party’s obligations to third parties, whether current or in the future, with respect to such Pre-Existing Intellectual Property, and such other considerations as are, in the sole discretion of the parties hereto, relevant to such proposed licensing. The parties agree to use reasonable efforts to disclose Pre-Existing Intellectual Property that may be relevant to commercializing products and services that are likely to arise out of the specific Project.

Cooperation and Expenses. The Company and the Owners will cooperate with Issuer in the preparation and filing of the Registration Statements and any amendments thereto. Issuer will pay all costs and expenses incidental to preparing and filing the Registration Statements and any amendments and supplements thereto, except that the Company and the Owners will pay (a) underwriting discounts or selling commissions respecting sales of such Shares, (b) all applicable stock transfer taxes relating to any Shares transferred, and (c) all fees and expenses of their counsel, if any.
Cooperation and Expenses. The holders of the Shares will cooperate with Parent in the preparation and filing of any Registration Statement and any amendments thereto. Parent will pay all Registration Expenses (as defined below) in connection with the Shares. "Registration Expenses" means all registration and filing fees, fees and expenses of compliance with securities or Blue Sky Laws, fees associated with the listing of the Shares on Nasdaq or any then applicable securities exchange, printing and mailing expenses and fees and expenses of legal counsel for Parent and all independent certified public accountants, the reasonable attorneys' fees and expenses of Holders' Counsel (provided that Parent's obligation to pay such attorney's fees and expenses of Holders' Counsel will not exceed $2,500 in the aggregate) and the fees and expenses of any other persons retained by Parent. All expenses other than those described in this Section 9.04 will be paid by the holders of the Shares included in such registration, pro rata among such holders on the basis of the number of Shares included in the registration.

In any suit, proceeding or action brought by an Indemnified Party in connection with any Loan for any sum owing thereunder, or to enforce any provisions of any Loan, Seller will save, indemnify and hold such Indemnified Party harmless from and against all expense, loss or damage suffered by reason of any defense, set-off, counterclaim, recoupment or reduction of liability whatsoever of the account debtor or obligor thereunder, arising out of a breach by Seller of any obligation thereunder or arising out of any other agreement, indebtedness or liability at any time owing to or in favor of such account debtor or obligor or its successors from Seller. Seller also agrees to reimburse any Indemnified Party as and when billed by such Indemnified Party for all such Indemnified Party’s costs and expenses incurred in connection with the enforcement or the preservation of such Indemnified Party’s rights under this Agreement, any other Program Document or any transaction contemplated hereby or thereby, including without limitation the reasonable fees and disbursements of its counsel. Seller hereby acknowledges that the obligations of Seller under this Agreement are recourse obligations of Seller.

  • Compensation and Expenses (a) As compensation for sourcing the Series Gallery Drop 091 Asset, the Asset Manager may be granted a sourcing fee equal to 3.27% of the total aggregate amount of Series Gallery Drop 091 membership interests that are sold in the Series’ offering under Regulation A of the Securities Act of 1933, as amended (the “Offering”), which the Asset Manager may waive in its sole discretion.

  • Remuneration and Expenses Subject to any unanimous shareholder agreement, the directors shall be paid such remuneration for their services as the board may from time to time determine. Seller shall reimburse each Conduit on demand for all other costs and expenses incurred by such Conduit (“Other Costs”), including, without limitation, the cost of auditing such Conduit’s books by certified public accountants, the cost of rating the Commercial Paper of such Conduit by independent financial rating agencies, and the reasonable fees and out-of-pocket expenses of counsel for such Conduit or any counsel for any shareholder of such Conduit with respect to advising such Conduit or such shareholder as to matters relating to such Conduit’s operations.

  • Sellers’ Costs and Expenses Except as may otherwise be provided in this Agreement, including Section 8.1, or in the Purchase Agreement, all expenses and costs incurred by the Sellers in connection with the performance of their obligations hereunder shall be the responsibility of, paid by and for the account of the Sellers.
