Cooperation; Regulatory Filings. Subject to the terms and conditions of this Reorganization Agreement, CFC and AFC shall cooperate, and shall cause each of their subsidiaries to cooperate, in the preparation and submission by CFC and AFC, as promptly as reasonably practicable, of such applications, petitions, and other documents and materials as any of them may reasonably deem necessary or desirable to the SEC, the Federal Reserve, the appropriate Regulatory Authorities of South Carolina, the shareholders of AFC and CFC, and any other Persons for the purpose of obtaining any approvals or consents necessary to consummate the transactions contemplated by this Reorganization Agreement. Prior to the making of any such filings with any Regulatory Authority or the making of any written disclosures with respect to the transactions contemplated hereby to shareholders or to any third person (such as mailings to shareholders or press releases), the parties shall submit to each other the material to be filed, mailed, or released. Any such materials shall be reasonably acceptable to all parties prior to the filings with any Regulatory Authorities or the disclosures to shareholders or to any third person, except to the extent that any person is legally required to proceed prior to obtaining the approvals of the other parties. CFC shall be responsible for all filings fees associated with the Regulatory Approvals.
Cooperation; Regulatory Filings. (a) Upon the terms and subject to the conditions set forth in this Agreement, each of GP and the Buyer agrees to use its commercially reasonable efforts to take, or cause to be taken, all actions, and to do, or cause to be done, and to assist and cooperate with the other party in doing, all things necessary, proper or advisable to consummate and make effective, in the most expeditious manner practicable, the transactions contemplated by this Agreement, including the following: (i) the taking of all acts necessary to cause the conditions to Closing to be satisfied as promptly as practicable, (ii) the obtaining of all necessary actions or nonactions, waivers, consents and approvals from any Governmental Entity and the making of all necessary Filings (if any, including Filings with any Governmental Entity) and the taking of all steps as may be necessary to obtain an approval or waiver from, or to avoid, an action or proceeding by any Governmental Entity, (iii) the obtaining of all necessary consents, approvals or waivers from third parties (including the items set forth on Schedule 8.1), (iv) the defending of any lawsuits or other legal proceedings, whether judicial or administrative, challenging this Agreement or the consummation of the transactions contemplated hereby, including seeking to have any stay or temporary restraining order entered by any court or other Governmental Entity vacated or reversed, and (v) the execution and delivery of any additional instruments necessary to consummate the transactions contemplated by, and to fully carry out the purpose, of this Agreement. GP and the Buyer shall each pay equal shares of any filing fees associated with any required Filings with any Governmental Entities. In addition, GP will cause each of the Company and all of its Subsidiaries to use their commercially reasonable efforts to obtain the Real Estate Deliveries. GP and Newco shall pay equal shares of any costs associated with obtaining the Real Estate Deliveries. With respect to certain of the Leased Real Property, each of GP and the Company shall take the actions set forth on Schedule 7.3(a).
Cooperation; Regulatory Filings. (a) The Parties shall cooperate fully with each other and shall use commercially reasonable efforts to take, or cause to be taken, all actions necessary to consummate the Contemplated Transactions.

The Buyer and Kxxxxxx agree to reasonably cooperate with each other and to use their respective reasonable efforts to facilitate the completion of the transactions contemplated hereunder as promptly as practicable, including, without limitation, furnishing to each other such necessary information and reasonable assistance as may be reasonably requested in connection with the preparation of necessary Filings or submissions to any Governmental Entity in connection with the transactions contemplated hereby. Without limiting the foregoing, to the extent applicable, Kxxxxxx, the Sellers and the Buyer shall make or cause to be made as soon as practicable after the date hereof (to the extent not already made) all Filings required by the parties hereto or on their behalf under the HSR Act or Applicable Foreign Antitrust Law relating to the transactions contemplated hereby and shall use their reasonable efforts to cause the waiting period thereunder to expire as quickly as possible.

(a) The Parties shall use their respective reasonable best efforts to make or file with the appropriate Governmental Authority all filings, forms, registrations and notifications required by Law to be filed to consummate the Transaction, and subsequent to such filings, the Parties will respond to inquiries from Governmental Authorities, or provide appropriate responses to any supplemental information requests made by Governmental Authorities, in connection with filings made with or inquiries received from such Governmental Authorities.

(a) Subject to the terms of this Section 6.2, the Buyer Parties and Sellers shall, and Sellers shall procure that the Company Group shall, cooperate and use their respective reasonable best efforts to take or cause to be taken all actions, and do or cause to be done all things reasonably necessary, proper or advisable to satisfy the Conditions to consummate and make effective the Transaction as promptly as reasonably practicable and in any event to enable Closing to occur prior to the Long Stop Date (including the use of reasonable efforts to obtain all consents and deliver all notices as required pursuant to any Contracts to which any member of the Company Group is a party).
