Covenants, Zoning and Codes. Borrower has complied to date and will continue to comply with all applicable environmental statutes and regulations applicable to the development of the Project. All permits, consents, approvals or authorizations by, or registrations, declarations, withholding of objections or filings with any governmental body necessary in connection with the valid execution, delivery and performance of the Loan Documents, or presently necessary for the development of the Project, have been obtained, are valid, adequate and in full force and effect or will be obtained prior to the commencement of any Project Activities for which a permit, consent, approval or authorization is necessary. Development of the Project will in all respects conform to and comply with all covenants, conditions, restrictions and reservations affecting the Project Site and with all applicable zoning, environmental protection, use and building codes, laws, regulations and ordinances.

Covenants, Zoning and Codes. Each Loan Party has complied and will continue to comply with all applicable statutes and regulations to be complied with in connection with the Property, including, without limitation, all statutes and regulations regarding environmental issues, the Americans with Disabilities Act, and historical preservation acts and regulations. All permits, consents, approvals or authorizations by, or registrations, declarations, withholding of objections or filings with any governmental body or private entity necessary in connection with the valid execution, delivery and performance of this Agreement, the Loan Documents, and any and all other documents executed in connection with any of the foregoing, have been obtained and are valid, adequate and in full force and effect. The Property and the intended use thereof will in all material respects conform to and comply with all covenants, conditions, restrictions and reservations affecting the Property, with all applicable zoning, including parking requirements, subdivision, environmental protection, use and building codes, laws, regulations and ordinances, including without limitation any covenants and restrictions recorded in the official records of the applicable Governmental Entity (collectively, the "Covenants").

Construction of the Improvements and the intended use, occupancy, and operation of the Improvements will in all respects conform to and comply with all covenants, conditions, restrictions, and Governmental Requirements.
