CRO Sample Clauses

CRO. Retain a chief restructuring officer of the Borrower and the other Debtors (“CRO”), the retention of which shall be approved by the Bankruptcy Court and the engagement and retention of which shall be acceptable to the Postpetition Lender. CRO. Zadavatel smluvne zavázala CRO jakožto nezávislého dodavatele smluvního plnení k provedení určitých služeb smluvní výzkumné organizace v souvislosti s tímto Klinickým hodnocením, a to včetne vyjednání smluv o klinickém hodnocení s jednotlivými xxxxx výkonu klinického hodnocení, resp. centry, jménem a ve prospech Zadavatele. Poskytovatel souhlasí, že zajistí, že Hlavní zkoušející a Spolupracující osoby zapojené do provádení Klinického hodnocení poskytnou plnou součinnost CRO, a to z pozice smluvní výzkumné organizace jednající jménem Zadavatele ve vztahu ke Klinickému hodnocení (a pšípadne zástupci či zmocnenci CRO, dle konkrétních podmínek), stejne jako jsou Poskytovatel a Hlavní zkoušející povinni spolupracovat a poskytovat součinnost Zadavateli v téže souvislosti.

CRO. Sponsor has retained CRO as in independent contractor to perform certain contract research organization services in connection with the Clinical Trial, including negotiation of Clinical Trial Agreements with Clinical Trial sites on behalf of Sponsor. The Provider agrees that it shall ensure the Principal Investigator and all Cooperating Personnel shall, fully cooperate with CRO in its capacity as Sponsor’s contract research organization for the Clinical Trial (and CRO’s designee, if applicable), in the same way that Provider and Principal Investigator are obliged to cooperate with Sponsor related thereto.

CRO. Upon request by the Consenting Term A Lenders, to the extent consistent with the exercise of the fiduciary duties of the board of directors of Holdco and the Obligors, the existing engagement letter between the Obligors and Traverse, LLC shall be amended on terms and conditions acceptable to the Consenting Term A Lenders to include certain additional services and responsibilities as requested by the Consenting Term A Lenders.

CRO. CRO se zavazuje před podpisem této smlouvy splnit oznamovací povinnost ve věci této studie vůči příslušnému regulačnímu orgánu (SÚKL) a zajistit schválení této studie příslušnou Etickou komisí.

CRO. At any time prior to the repayment in full in cash of all Obligations and termination of all Commitments hereunder, no Loan Party shall, nor shall it permit any Subsidiary to, (i) make any material change, limitation or revision to the CRO Scope without the prior written consent of the Administrative Agent and the Required Lenders or (ii) terminate the CRO’s engagement without the prior written consent of the Administrative Agent and the Required Lenders unless the CRO is immediately replaced with another chief restructuring officer whose identity and scope of engagement are reasonably acceptable to the Administrative Agent.

CRO. Sponsor shall have the right to enlist the services of a contract research organization (“CRO”) as its representative agent to design, develop, manage, oversee and otherwise perform functions related to Sponsor’s responsibilities for the Study as permitted by Applicable Law. The Parties agree that if Sponsor elects to utilize a CRO, the terms and conditions of this Agreement shall still apply to the CRO and the CRO is bound by the responsibilities, liabilities and obligations set forth herein as an agent of Sponsor.

CRO uhradí náklady za prodávané/srovnávací léčivo. Pro vyloučení pochyb platí, že právní titul k prodávanému/srovnávacímu léčivu nepřechází z Centra na CRO nebo Zadavatele a proto fakturace bude provedena v režimu „reverse charge“, protože se bude fakturovat do země EU. Úhrada se uskuteční na základě doručené faktury. Příjemce platby předloží faktury za provedené Služby a výdaje vzniklé podle bodu 4 a všechny platby budou provedeny do čtyřiceti pěti (45) dnů od data obdržení platné faktury v souladu s touto Smlouvou. Všechny platby budou prováděny elektronicky na výše uvedený bankovní účet.

CRO. Company has retained CRO as in independent contractor to perform certain contract research organization services in connection with the Clinical Trial, including negotiation of Clinical Trial Agreements with Clinical Trial sites on behalf of Company. The Institution agrees that it shall ensure the Principal Investigator and all Clinical Trial staff shall, fully cooperate with CRO in its capacity as Company’s contract research organization for the Clinical Trial (and CRO’s designee, if applicable), in the same way that Institution and Principal Investigator are obliged to cooperate with Company related thereto.
