Customer Migration. Promptly following execution and delivery of this Agreement, the parties shall develop a plan for the transition of customers of the VA Distribution Business in the Transferred Territory to Buyer in accordance with a plan intended to mitigate to the extent reasonably possible any impact or cost to such customers.

Customer Migration. Without limiting the obligations of Seller under Section 2.05, Section 7.01 or Section 7.02, from and after the Closing Seller shall use its commercially reasonable efforts in consultation with Buyer (i) to facilitate migration of existing customers of the Business to Buyer or its Affiliate without disruption and (ii) take any other action necessary to preserve the existing client relationships of the Business for the benefit of Buyer.
Customer Migration. The Parties shall co-operate in good faith to effect the technical migration and the migration of the Customers successfully with minimum disruption to Customers and to migrate all Customers other than the Excluded Customers. The Purchaser 1 shall be entitled to use the name "Cybernet" in order to identify the services related to its Purchased Assets and to retain the Customers, however, for greater certainty, a Purchaser shall not be entitled to act on behalf of the Seller or to pretend to be authorized to act on behalf of the Seller. The Purchasers shall undertake to use their best efforts to offer to any of the Objecting Customers to enter into a new contractual relationship with the Respective Purchaser at comparable conditions ("New Contracts") in such a way that the New Contracts will be effective prior to December 31, 2002.

  • Customer Service As between Fig and Developer, Developer shall be solely responsible for providing and maintaining customer service and technical support in the Territory to Distributors and end users with respect to the Licensed Game (including, for the avoidance of doubt, any Distributors and end-users of Fig pursuant to Fig Sales (as defined below)). Such customer service and technical support shall be of a quality that is comparable to such customer service and technical support as Developer provides for its other “top-tier” titles. For the purposes of this Section, “customer service” means the resolution of issues pertaining to the Licensed Game in the following general categories: payment processing, order inquiries, replacements and refunds, and technical support.

  • Customer Complaints Each party hereby agrees to promptly provide to the other party copies of any written or otherwise documented complaints from customers of Dealer received by such party relating in any way to the Offering (including, but not limited to, the manner in which the Shares are offered by the Dealer Manager or Dealer), the Shares or the Company.

  • System and Data Access Services a.System. Subject to the terms and conditions of this Addendum and solely for the purpose of providing access to Fund Data as set forth herein, State Street hereby agrees to provide the Fund, or certain third parties approved by State Street that serve as the Fund`s investment advisors, investment managers or fund accountants (the "Fund Accountants") or as the Fund`s independent auditors (the "Auditor"), with access to State Street`s Multicurrency HORIZONR Accounting System and the other information systems described in Attachment A (collectively, the "System") on a remote basis solely on the computer hardware, system software and telecommunication links described in Attachment B (the "Designated Configuration") or on any designated substitute or back-up equipment configuration consented to in writing by State Street, such consent not to be unreasonably withheld.

  • End Users LICENSEE agrees to require all direct recipients of Licensed Products to whom Licensed Products are sold, leased, or otherwise disposed of by LICENSEE or its sublicensees, to look only to LICENSEE and not to LICENSOR or its affiliates for any claims, warranties, or liability relating to such Licensed Products. LICENSEE agrees to take all steps to reasonably assure itself that Licensed Products sold, leased or otherwise disposed of by or for LICENSEE is being used for permitted purposes only.
