Debtors to Remain Liable. Notwithstanding anything to the contrary contained herein, Debtors shall remain liable under each of the Assigned Agreements to perform all of the obligations undertaken by them thereunder, all in accordance with and pursuant to the terms and provisions thereof and take such action to such end as requested by the Intercreditor Agent, and the Secured Parties shall have no obligation or liability under any of such Assigned Agreements by reason of or arising out of this Agreement, nor shall the Intercreditor Agent or any other Secured Party be required or obligated in any manner to perform or fulfill any obligations of Debtors thereunder or to make any payment or inquiry as to the nature or sufficiency of any payment received by it, or present or file any claim or take any action to collect or enforce the payment of any amounts which may have been assigned to Secured Parties or to which such Secured Party may be entitled at any time.

Debtors to Remain Liable. Each Debtor hereby expressly agrees that, anything herein to the contrary notwithstanding, such Debtor shall remain liable under each contract, agreement, interest or obligation assigned by such Debtor to Lender hereunder to observe and perform all of the conditions and obligations to be observed and performed by such Debtor thereunder, all in accordance with and pursuant to the terms and provisions thereof. The exercise by Lender of any of the rights assigned hereunder shall not release any Debtor from any of its duties or obligations under any such contract, agreement, interest or obligation. Lender shall not have any duty, responsibility, obligation or liability under any such contract, agreement, interest or obligation by reason of or arising out of the assignment thereof to Lender or the granting to Lender of a Security Interest therein or the receipt by Lender of any payment relating to any such contract, agreement, interest or obligation pursuant hereto, nor shall Lender be required or obligated in any manner to perform or fulfill any of the obligations of such Debtor thereunder or pursuant thereto, or to make any payment, or to make any inquiry as to the nature or sufficiency of any payment received by Lender or the sufficiency of any performance of any party under any such contract, agreement, interest or obligation, or to present or file any claim, or to take any action to collect or enforce any performance or the payment of any amounts which may have been assigned to Lender, in which Lender may have been granted a Security Interest or to which Lender may be entitled at any time or times.
Debtors to Remain Liable. Anything herein to the contrary · notwithstanding, (a) Debtors shall remain liable under any contracts and agreements included in the Collateral to perform all of its duties and obligations thereunder to the same extent as if this Agreement had not been executed, (b) the exercise by Secured Party of any of the rights hereunder shall not release Debtor from any of its duties or obligations under any contracts and agreements included in the Col lateral, and (c) Secured Party shall not have any obligation or liability under any contracts and agreements included in the Collateral by reason of this Agreement, nor shall Secured Party be obligated to perform any of the obligations or duties of Debtor thereunder or to take any action to collect or enforce any claim for payment assigned hereunder.
Debtors to Remain Liable. For the avoidance of doubt, if the proceeds of any sale or other disposition of or collection or other realization from or upon the Collateral are insufficient to pay all Secured Obligations in full (including, without limitation, the costs and expenses of such sale, disposition, collection or realization), the Debtors shall be liable for the deficiency and the reasonable costs and expenses incurred by the Secured Party and any Noteholders in connection with the collection of such deficiency (including the reasonable attorneys fees and disbursements of counsel for the Secured Party and of a special counsel for the Noteholders, and, if reasonably requested by the Secured Party or the Required Holders with respect to any relevant jurisdictions, local or other counsel consisting, for each such jurisdiction, of a single law firm approved by the Required Holders for such jurisdiction).
Debtors to Remain Liable. Each Debtor shall remain liable under and shall preserve the liability of all other parties to each agreement constituting part of the Collateral and shall perform all of its obligations thereunder. The exercise by Administrative Agent of any of its rights hereunder shall not release any Debtor from any duties under any agreement. Administrative Agent has no obligation or liability with respect to any of the Collateral under any agreement by reason or arising out of the assignment thereof to Administrative Agent or the granting to Administrative Agent of a security interest therein or the receipt by Administrative Agent of any payment relating to any such agreement.
