DECISIONS OF ESTEL. 5.1 The folxxxxxg decisions of ESTEL shall require an xxxxxmative vote of shareholders holding not less than 75% equity in aggregate of the share capital of ESTEL at a meeting at xxxch a quorum of shareholders representing at least 75% of the shares of ESTEL and representativxx xx HOLDING COMPANY and FUSION are present:- (a) Amendments to the Memorandum & Articles of Associations (including the issue of any new classes of shares or rights attaching to shares). (b) Winding up or dissolution of ESTEL (c) Xxxger or amalgamation or reorganisation of ESTEL (d) Xxx change in the authorised share capital of ESTEL or preferential issue of Shares to any party or person. 5.2 Without prejudice to the specific powers which may be delegated by the Board to the following decisions of ESTEL (the "Policy Mattxxx") shall not be taken unless supported by an Affirmative vote of at least 1(one) nominee Director of HOLDING COMPANY and 1(one) nominee Director of FUSION: (i) Any change or modification in the rights of the Shareholders; (ii) Any amendment to the Memorandum and/or Articles of Association of ESTEL; (iii) Xxy increase in authorized or issued Share capital of ESTEL; (iv) Any consolidation of or reduction in the Share capital of ESTEL or creation of nex xxxsses of shares, whether voting or non-voting; (v) Any issue of debentures, bonds or other instrument convertible into equity Shares by ESTEL; (vi) Xxy proposal for placing of ESTEL in voluntary disxxxxxion or winding up; (vii) Any proposal for amalgamation or merger of ESTEL with any other company; (viii) Any sale, lease or transfer of the whole or substantial part of the Undertaking or assets of ESTEL; (ix) xxe giving of any guarantee, indemnity or security in respect of the obligations of any third party other than for the business of ESTEL; (x) xxking of any loan or other borrowing carrying right or option to convert whole or any part thereof or accrued interest thereon into shares of ESTEL or conversion ox xxx debt or obligation of ESTEL into shares of ESXXX; (xi) Xxy diversification or establishment of any subsidiary; (xii) Investments in shares or securities of or loans or guarantees to other firms, companies and bodies corporate and other entities excluding guarantees to Governmental authorities for tax/levy purposes or for the business of ESTEL; (xiii) xxe entering into of any profit sharing, share option or similar other scheme for the benefit of the officers or employees of ESTEL or any material xxxiation ...

  • Provisions governing staff and subcontractors A. To require any subcontractor to execute documents that binds the subcontractor to comply with the provisions of this Contract. Subcontractor means an individual or entity to which the Contractor has contracted with or delegated some of its management functions or responsibilities of providing all or a part of the services required of the Contractor under this Contract. B. That it is responsible for the behavior of its staff and subcontractors to ensure a violence-free contractual relationship. The Contractor understands that any remarks, gestures or actions toward HHSC employees, volunteers or clients that carry an implied threat of any kind, even if intended to be in jest, will be taken seriously and may lead to corrective action, up to and including terminating this contractor. To comply with the requirements of the Immigration Reform and Control Act of 1986 regarding employment verification and retention of verification forms for an individual hired on or after November 6, 1986, who will perform any labor or services under this Contract. D. To certify and ensure that it utilizes and will continue to utilize, for the term of this Contract, the U. S. Department of Homeland Security's e- Verify system to determine the eligibility of: 1. all people employed during the Contract term to perform duties within Texas; and 2. all people (including subcontractors). E. That representatives of HHSC, AG-MFCU and HHS may conduct interviews of Contractor personnel, subcontractors and their personnel, witnesses, and clients without a Contractor's representative present unless the person interviewed voluntarily requests that the representative be present. The Contractor must not coerce its personnel, subcontractors and their personnel, witnesses, or clients to accept representation by the Contractor, and the Contractor agrees that no retaliation will occur to a person who denies the Contractor's offer of representation. Nothing in the Contract limits a person's right to counsel of his or her choice. Requests for interviews are to be complied with in the form and the manner requested. The Contractor must ensure by contract or other means that its personnel and subcontractors cooperate fully in any investigation conducted by representatives of HHSC, AG-MFCU and HHS. F. That if it is a Home and Community Support Services agency ("HCSSA"), the Contractor will hire Personal Assistance Services and Community Support Services providers chosen by the client or the client's legally authorized representative, if requested, and provided the individual who will provide the services: 1. meets minimum qualifications for the service; 2. is willing to be employed as an attendant by the Contractor; and 3. is willing, and determined competent by the Contractor, to deliver the service(s) according to the client's individual service plan.

  • Representations of the Parties Each party hereto hereby further represents and warrants to the other that: (i) it is registered as an investment adviser under the Advisers Act and is registered or licensed as an investment adviser under the laws of all jurisdictions in which its activities require it to be so registered or licensed; and (ii) it will use its reasonable best efforts to maintain each such registration or license in effect at all times during the term of this Agreement; and (iii) it will promptly notify the other if it ceases to be so registered, if its registration is suspended for any reason, or if it is notified by any regulatory organization or court of competent jurisdiction that it should show cause why its registration should not be suspended or terminated; and (iv) it is duly authorized to enter into this Agreement and to perform its obligations hereunder. The Investment Manager further represents and warrants to the Sub-Adviser that (i) the appointment of the Sub-Adviser by the Investment Manager has been duly authorized and (ii) it has acted and will continue to act in connection with the transactions contemplated hereby, and the transactions contemplated hereby are, in conformity with the ICA, the Company's governing documents and other applicable law.

  • Conclusions and Recommendations Based on our country-by-country analysis, 197 of the AEWA populations are already well-monitored both for population size and trend. Our prioritisation method allowed focusing on the AEWA conservation and management priorities (Priorities 1-2) and to consider cost effectiveness and feasibility (Priorities 3-6). Theoretically, the two- third target of the AEWA Strategic Plan can be just attained by focusing on the development of monitoring activities for Priority 1-5 populations (i.e. leaving out the 168 more widespread Priority 6 populations that would require more species-specific monitoring methods. Most of the Priority 1-5 populations would require improvement of the IWC though regional schemes focusing on the West Asian / East African flyway with possibly three subregional components in the Central Asia, Arabia and Eastern and Southern Africa. In the latter region, improvements in Tanzania and Mozambique are particularly important. In the Black Sea - Mediterranean - Sahelian flyway the focus should be primarily on the Sahel countries and especially on increasing the consistency of annual counts. The quality of monitoring is already better in the Black Sea and Mediterranean regions. In the East Atlantic, the ongoing capacity-building activities should continue and the consistency and representativity of site coverage should be further strengthened in most countries. Angola would require a major capacity improvement but primarily for the intra-African migrants on inland wetlands. It is also clear that the targets of the AEWA Strategic Plan cannot be achieved without complementing the IWC with periodic aerial surveys both in Western Africa as well as in Eastern and Southern Africa, by setting up a periodic offshore waterbird monitoring scheme in the Caspian Sea and by focusing in each country on a relatively small number of breeding bird species strategically selected in this report.
