Delinquent Reports. The Contractor shall submit required reports by the designated due dates as identified in this Contract. After notice to the Contractor and an opportunity for a meeting with an Agency representative, the Agency reserves the right to withhold payments for services performed under this Contract if the Agency has not received acceptable progress reports, expenditure reports, refunds, and/or audits as required by this Contract or previous contracts for similar or equivalent services the Contractor has entered into with the Agency. This section shall survive any Termination of the Contract or the Expiration of its term.

Delinquent Reports. For sanctions related to required reporting compliance issues as indicated in the Delinquency Procedure for SUD Providers and on Attachment “Reporting Requirements for MSHN SUD Providers FY2020” and/or other reporting requests with due date(s), and/or requested information with due date(s), MSHN may delay scheduled payment to the PROVIDER if not submitted on time as indicated on Attachment “Reporting Requirements for MSHN SUD Providers FY 2020” and/or other reporting requests with due date(s), and/or requested information with due date(s), until such time as compliance is achieved. (NOTE: MSHN may apply this sanction in a subsequent payment cycle should the required reports, as indicated on Attachment “Reporting Requirements for MSHN SUD Providers FY 2020” and/or other reporting requests with due date(s), and/or requested information with due date(s), not be submitted as required).

Delinquent Reports. Each Purchaser acknowledges that (i) the Company is not “current” in its reporting obligations with the Commission and (ii) that the Shares will not be available for resale under the provisions of Rule 144 of the Securities Act after the requisite holding period set forth in such rule until such time, if ever, that the Company files all delinquent reports and other information with the Commission and is considered “current” in its filing obligations for a period of twelve months.
