Deliveries to Parent. Parent agrees and acknowledges that all documents or other items delivered to Parent or its Representatives in connection with the Transactions or uploaded and made available in the Data Room on or before the date that is one Business Day prior to the date hereof shall be deemed to have been delivered, provided or made available to Parent, UCBI, Merger Subsidiary or their representatives for all purposes hereunder.
