Design and Permitting. Seller shall determine the proposed location, design, configuration and capacities of the Facility as it deems appropriate, subject only to the requirements of this Agreement and all applicable Requirements of Law. Seller, at its expense, shall timely take all steps necessary to obtain all Permits required to construct, maintain or operate the Facility and for the production, sale and delivery of Energy and Environmental Attributes in accordance with the requirements of this Agreement and all applicable Requirements of Law. Seller shall represent the Facility as necessary in all meetings with and proceedings before all Governmental Authorities.
Design and Permitting. The Developer shall design and permit the Roadway Improvements in accordance with the terms of this Agreement. The Roadway Improvements shall be designed consistent, as applicable, with the PD&E Study and with the design criteria of the County and FDOT (for S.R. 56) for roads in the applicable class (i.e., urban, suburban, rural, collector, arterial, etc.). The construction contractors to be used by the Developer to complete the Roadway Improvements shall be contractors of good standing and licensed to practice in Pasco County and shall be selected by the Developer based on Developer’s selection criteria.

Design and permitting activities may include coastal or civil engineering analyses, preparation of plans and specifications, physical and environmental surveys, cultural resource surveys, design-level geotechnical services, environmental analyses, orthophotography, plan formulations and other necessary studies for obtaining environmental permits, and other Project- related authorizations. Concessionaire shall be responsible, at its sole cost and expense, for the costs of design and permitting of all improvements within the Premises and shall not commence any work with respect to an Approved Project until all governmental permits and approvals with respect to the Approved Project have been obtained. At no cost or liability to City, City shall reasonably cooperate with Concessionaire’s efforts to obtain such permits and approvals, which cooperation shall include, without limitation, the execution of such instruments as may be required by governmental authorities in order for Concessionaire to apply for and obtain such permits and approvals.
