Designation of Certificates; Designation of Startup Day. The Seller hereby designates the Class [A] Certificates as "regular interests" and the Class R Certificates as the single class of "residual interests" in the REMIC Trust comprising the REMIC established pursuant to Section 3.01 for the purposes of Code Sections 860G(a)(1) and 860G(a)(2), respectively. The Pre-Funding Account and the Capitalized Interest Account shall not be part of the REMIC Trust established pursuant to Section 3.01. The Closing Date is hereby designated as the "Startup Day" within the meaning of Code Section 860G(a)(9) of the REMIC established pursuant to Section 3.01. The latest possible maturity date of the Class [A] Certificates is the Final Maturity Date.
