DESIGNS, TOOLS, ETC. FURNISHED BY IES: Any drawings, data, tools, designs, equipment, software programs or other property supplied by IES to Supplier or specifically paid for by IES in connection with the Purchase Order shall be and remain IES’ property. Such property shall be used exclusively in connection with the Goods or Services provided hereunder, maintained in first class condition and returned by Supplier to IES at the termination of this Purchase Order, or earlier should IES so request. Further, any data, software or other technical information (including any data or information included in any drawings, specifications or other materials provided by IES to Supplier hereunder) are proprietary to IES or its customers, shall be held in strictest confidence by Supplier, shall not be reproduced or disclosed to others without IES or its customer's prior written consent and shall be used by Supplier solely in connection with the fulfillment of this Purchase Order. Any information furnished to IES by Supplier relating to or as a result of this Purchase Order shall be considered non-confidential unless otherwise agreed to by IES in a separate written agreement. All new technology (including, but not limited to, inventions, patentable or not), new equipment, or a new manufacturing process resulting from Services performed by Supplier under this Purchase Order shall be the exclusive property of IES.

DESIGNS, TOOLS, ETC. (a) If the materials hereunder are to be produced by Seller in accordance with designs, drawings or blueprints furnished by Xxxxx, Seller shall use such designs, drawings or blueprints solely for purposes of fulfilling this Order and shall return all copies of the same to Buyer at Buyer’s request upon completion or cancellation of this Order.
DESIGNS, TOOLS, ETC. (a) If the goods are to be produced by Seller in accordance with designs, drawings or blueprints furnished by Xxxxx, Seller shall return the same to Buyer at Buyer’s request upon completion or cancellation of this Purchase Order or subsequent future Purchase Orders. Such designs and the like shall not be used by Seller in the production of materials for any third party without Xxxxx’s written consent. Such designs and the like involve valuable property rights of Buyer and shall be held confidential by Seller and shall not be used by Seller in the production of materials for itself or any third party without Buyer’s written consent.
DESIGNS, TOOLS, ETC. (a) Unless otherwise agreed herein, Supplier at its cost shall supply all materials, equipment, tools, and facilities required to perform this Purchase Order. Any designs, drawings, blueprints, materials, equipment, tools, or other properties furnished to Supplier or specifically paid for by Garmin ("Garmin Property") shall remain Garmin’s Property unless otherwise agreed by Garmin in writing. Any such Garmin Property shall be used only in filling orders from Garmin unless given written consent otherwise by Garmin.

  • UNIFORMS, TOOLS AND EQUIPMENT 23.1 Uniforms‌ The Employer may require employees to wear uniforms. Where required, the Employer will determine and provide the uniform or an equivalent clothing allowance. The Employer will follow their policy regarding the provision and maintenance of required uniforms, specialized clothing and footwear. The cost of normal wear and tear and loss of required uniforms, specialized clothing and footwear due to workplace conditions is the responsibility of the Employer.

  • Evaluation Software If the Software is an evaluation version or is provided to You for evaluation purposes, then, unless otherwise approved in writing by an authorized representative of Licensor, Your license to use the Software is limited solely for internal evaluation purposes in non-production use and in accordance with the terms of the evaluation offering under which You received the Software, and expires 90 days from installation (or such other period as may be indicated within the Software). Upon expiration of the evaluation period, You must discontinue use of the Software, return to an original state any actions performed by the Software, and delete the Software entirely from Your system and You may not download the Software again unless approved in writing by an authorized representative of Licensor. The Software may contain an automatic disabling mechanism that prevents its use after a certain period of time. RESTRICTIONS

  • Operator Materials Operator retains all right, title and interest in and to any and all of Operator’s software, materials, tools, forms, documentation, training and implementation materials and intellectual property (“Operator Materials”). Operator grants to the LEA a personal, nonexclusive license to use the Operator Materials for its own non-commercial, incidental use as set forth in the Service Agreement. Operator represents that it has all intellectual property rights necessary to enter into and perform its obligations in this DPA and the Service Agreement, warrants to the District that the District will have use of any intellectual property contemplated by the Service Agreement free and clear of claims of any nature by any third Party including, without limitation, copyright or patent infringement claims, and agrees to indemnify the District for any related claims.

  • Availability of Licensed Materials Upon the Effective Date of this Agreement, Licensor will make the Licensed Materials available to the Licensee, the Participating Institutions and Authorized Users.

  • Line Information Database 9.1 LIDB is a transaction-oriented database accessible through Common Channel Signaling (CCS) networks. For access to LIDB, e-Tel must purchase appropriate signaling links pursuant to Section 10 of this Attachment. LIDB contains records associated with End User Line Numbers and Special Billing Numbers. LIDB accepts queries from other Network Elements and provides appropriate responses. The query originator need not be the owner of LIDB data. LIDB queries include functions such as screening billed numbers that provides the ability to accept Collect or Third Number Billing calls and validation of Telephone Line Number based non-proprietary calling cards. The interface for the LIDB functionality is the interface between BellSouth’s CCS network and other CCS networks. LIDB also interfaces to administrative systems.

  • Return of Materials Pertaining to Work Product Upon the request of Customer, but in any event upon termination or expiration of this Contract or a Statement of Work, Vendor shall surrender to Customer all documents and things pertaining to the Work Product, including but not limited to drafts, memoranda, notes, records, drawings, manuals, computer software, reports, data, and all other documents or materials (and copies of same) generated or developed by Vendor or furnished by Customer to Vendor, including all materials embodying the Work Product, any Customer confidential information, or Intellectual Property Rights in such Work Product, regardless of whether complete or incomplete.   • Accessibility of Web-Based Information and Applications For State Agency Authorized User Acquisitions: Any web-based information and applications development, or programming delivered pursuant to the contract or procurement, will comply with New York State Enterprise IT Policy NYS-P08-005, Accessibility of Web-Based Information and Applications as follows: Any web-based information and applications development, or programming delivered pursuant to the contract or procurement, will comply with New York State Enterprise IT Policy NYS-P08- 005, Accessibility of Web-Based Information and Applications as such policy may be amended, modified or superseded, which requires that state agency web-based information and applications are accessible to persons with disabilities. Web-based information and applications must conform to New York State Enterprise IT Policy NYS-P08-005 as determined by quality assurance testing. Such quality assurance testing will be conducted by the State Agency Authorized User and the results of such testing must be satisfactory to the Authorized User before web-based information and applications will be considered a qualified deliverable under the contract or procurement.

  • Server Software Subject to the terms and conditions of this XXXX, Vocera grants you the non-exclusive right to (i) install and run (“Use”) the Server Software on computer systems (each, a “Server Computer”) located at End User’s Facilities in the geographic territory designated above (“Territory”); (ii) to Use the Client Software in conjunction with Authorized Client Devices and such Server Computers; and (iii) for pilot licenses for certain Software provided on a trial basis, use such Software for the limited term specified by Vocera in writing. You may Use the standard Server Software on one primary Server Computer (or a primary cluster of computers suitably configured for productive use of the Server Software). You may install backup copies of the Server Software on backup Server Computers to provide redundancy in the event of failure of the primary Server Computer(s) but, unless you have acquired additional licenses or a failover license from Vocera, you may not run such backup or additional copies concurrently with the primary copies. Vocera grants you the right to use the applicable License Key issued by Vocera only to enable Use of the Server Software in conjunction with the licensed Server Computers. Server Software may be licensed for a Subscription Term as specified in the Quote.
