Determination of Performance Goals. Prior to January 1 of each Plan Year, the Compensation Committee shall establish a threshold performance goal, a target performance goal, and a maximum performance goal for such Plan Year under the Plan (the “Threshold Performance Goal,” the “Target Performance Goal” and the “Maximum Performance Goal”, respectively, and collectively the “Performance Goals”). The Performance Goals may be based on (i) Company on-time performance, (ii) customer satisfaction, (iii) Company financial measures, (iv) work attendance, (v) other Company operating metrics, (vi) other appropriate criteria as determined by the Compensation Committee, or (vii) a combination of the foregoing. The Company will meet and confer with the IAM regarding the establishment of the Performance Goals for each Plan Year prior to the Compensation Committee establishing such goals for such Plan Year.

Determination of Performance Goals. A Performance Bonus Award shall specify the payment amount or percentage of the Performance Bonus Award for the Performance Period for each Grantee at designated levels of achievement of the Performance Measures. In the case of a Performance Bonus Award to a Restricted Executive, if the Committee intends such Performance Bonus Award to qualify for the Performance Based Exception, (a) the selection of the Performance Measures, establishment of the performance goals, and the determination of the amount or percentage of the Performance Bonus Award payable at designated levels of achievement of the Performance Measures, shall be made not later than the 90th calendar day of the Performance Period; (b) in the case of a Multiple Award Period, selection of the Performance Measures, establishment of the performance goals, and the determination of the amount or percentage of the Performance Bonus Award payable at designated levels of achievement of the Performance Measures, shall be done not later than the 90th calendar day of the first Performance Period, and (c) notwithstanding (a) and (b), the performance goal shall be established while the outcome as to the performance goal is substantially uncertain, and in no event shall the performance goal be established after more than 25% of the Performance Period has elapsed.
Determination of Performance Goals. The Performance Goals for each calendar year for each market in the Distributor Territory commencing with Performance Goals for the calendar year 2001 shall be agreed upon on or before December 1 of the prior year. In the event no agreement has been reached by December 1 of any year (the “Present Year”), then the CEOs and/or the Vice Presidents of Sales of Manufacturer and Distributor shall attempt to agree on such Performance Goals on or before January 1 of the succeeding year (the “Next Year”). If they are unable to agree, the matter will be submitted to binding mediation. The parties shall have until February 1 of the Next Year to mutually agree upon a qualified mediator, who shall be a person familiar with the economics and practices of the food distribution industry and have experience serving as a mediator in commercial disputes. If the parties are unable to agree upon a single mediator, each party shall designate its own similarly qualified mediator by March 1 of the Next Year, and the mediators so designated shall choose a third mediator by April 1. The mediation process shall be concluded by May 1, and shall be final and binding upon the parties as to Performance Goals for that current year. The cost of any mediation shall be borne equally by the parties. Such mediation shall take place in Chicago, Illinois or such other place as the parties mutually agree.

Related to Determination of Performance Goals

  • Payment of Performance Shares Payment of any Performance Shares that become earned as set forth herein will be made in the form of Common Shares, in cash, or in a combination of the two, as determined in the sole discretion of the Committee. Payment will be made as soon as practicable after the receipt of audited financial statements of the Corporation relating to the last fiscal year of the Performance Period and with respect to Covered Employees, the determination by the Committee of the level of attainment of the Management Objectives. Performance Shares will be forfeited if they are not earned at the end of the Performance Period and, except as otherwise provided in this Agreement, if the Grantee ceases to be employed by the Corporation or a Subsidiary at any time prior to such shares becoming earned.

  • Performance Goal (a) Subject to the following sentence, the Performance Goal is set out in Appendix A hereto, which Appendix A is incorporated by reference herein and made a part hereof. Notwithstanding the foregoing, the provisions of Section 13 or any other provision of A-1 this Agreement to the contrary, the Committee reserves the right to unilaterally change or otherwise modify the Performance Goal in any manner whatsoever (including substituting a new Performance Goal), but only to the extent that the Committee has first determined that the exercise of such discretion would not cause the Performance Share Units to fail to qualify as “performance-based compensation” under Section 162(m) of the Code.   • Vesting of Performance Shares As long as you remain employed with PG&E Corporation, the Performance Shares will vest on the first business day of March (the “Vesting Date”) of the third year following the date of grant specified in the cover sheet.   • Performance Goals A. The Trust and State Street have developed mutually acceptable performance goals dated March 1, 2011 , and as may be amended from time to time, regarding the manner in which they expect to deliver and receive the services under this Agreement (hereinafter referred to as “Service Level Agreement”). The parties agree that such Service Level Agreement reflects performance goals and any failure to perform in accordance with the provisions thereof shall not be considered a breach of contract that gives rise to contractual or other remedies.   • Performance Adjustment One-twelfth of the annual Performance Adjustment Rate will be applied to the average of the net assets of the Portfolio (computed in the manner set forth in the Fund's Declaration of Trust or other organizational document) determined as of the close of business on each business day throughout the month and the performance period.

  • Timing of Payment of Performance When the payment of any obligation or the performance of any covenant, duty or obligation is stated to be due or performance required on a day which is not a Business Day, the date of such payment (other than as described in the definition of Interest Period) or performance shall extend to the immediately succeeding Business Day.
