Disassemble decompile, reverse-engineer or otherwise attempt to derive the source code,object code underlying concepts, ideas and algorithms of the platform or any components thereof;

Disassemble decrypt, extract, reverse engineer or reverse compile the Service or Software, or oth- erwise attempt to discover the confidential algo- rithms and techniques incorporated in the Service or Software, or disclose or use any confidential in- formation of Company in any manner other than as expressly authorized in this Agreement;

Disassemble decrypt, extract, reverse engineer or reverse compile the Software, or otherwise attempt to discover the source code, confidential algorithms or techniques incorporated in the Software, or disclose or use any confidential information of Licensor in any manner except as permitted by applicable law, and then only to the extent that (i) Licensor is not legally entitled to exclude or limit such rights by contract and (ii) Subscriber notifies Licensor of its requirements with respect to interoperability or functional compatibility before engaging in reverse engineering, and gives Licensor the opportunity to provide to Subscriber the information necessary to achieve such interoperability or compatibility without reverse engineering;  Use the Software for any illegal purpose, in any manner that is inconsistent with the terms of this License Agreement, or to engage in any illegal activity;  Export the Software in violation of any applicable laws or regulations; 1. Modify, translate, adapt, or create derivative works from the Software or the Documentation related thereto; or  Circumvent, disable or otherwise interfere with security-related features of the Software;  Claim any sponsorship by, endorsement by, or affiliation with Licensor; 1. Use the Software in any manner that interferes with or damages the operation of the services of Licensor or third parties by overburdening/disabling network resources through automated queries, excessive usage or similar conduct that exceeds the permitted personal, non-commercial use contemplated herein; 2. Use any type of bot, spider, virus, clock, timer, counter, worm, software lock, drop dead device, packet-sniffer, Trojan-horse routing, trap door, time bomb or any other codes or instructions that are designed to be used to provide a means of surreptitious or unauthorized access or that are designed to monitor, distort, delete, damage or disassemble the Software or its ability to communicate and function with other computers running the Software;  With the exception of those actions permitted by the user interface or standard API provided as part of the Software, take any action, including without limitation downloading and/or using third party software, that (i) modifies the settings of the Software as it functions with Subscriber’s computer, or (ii) otherwise modifies, alters, blocks or interferes with the functioning of the Software; 1.   • Derivative Works Constellation Beers shall acquire no ownership rights in the Licensed Intellectual Property or derivative works based thereon or any intellectual property deemed to be owned by Marcas Modelo or Modelo Group as a result of this Agreement. Constellation Beers shall, at any time requested by Marcas Modelo or Modelo Group, whether during or subsequent to the term hereof, disclaim in writing any such property interest or ownership in the Licensed Intellectual Property.

  • Firmware 7.1 The Supplier must deliver the equipment, Goods or hardware equipped with all the firmware required to use all the Goods or hardware’s functions. Any software embedded in the equipment, Goods or hardware, including the firmware, is provided to the Local Government with a license to use this software, with all license costs and royalties being included in the Fee Schedule (Schedule C). All firmware will be the most recent version available at the time of shipping.

  • Source Code 5.1 Nothing in this XXXX shall give to the User or any other person any right to access or use the Source Code or constitute any licence of the Source Code.

  • Power Tools All time spent by Employees travelling to and from distant work will be paid as if worked during the time the travel is taken.

  • Server Software Subject to the terms and conditions of this XXXX, Vocera grants you the non-exclusive right to (i) install and run (“Use”) the Server Software on computer systems (each, a “Server Computer”) located at End User’s Facilities in the geographic territory designated above (“Territory”); (ii) to Use the Client Software in conjunction with Authorized Client Devices and such Server Computers; and (iii) for pilot licenses for certain Software provided on a trial basis, use such Software for the limited term specified by Vocera in writing. You may Use the standard Server Software on one primary Server Computer (or a primary cluster of computers suitably configured for productive use of the Server Software). You may install backup copies of the Server Software on backup Server Computers to provide redundancy in the event of failure of the primary Server Computer(s) but, unless you have acquired additional licenses or a failover license from Vocera, you may not run such backup or additional copies concurrently with the primary copies. Vocera grants you the right to use the applicable License Key issued by Vocera only to enable Use of the Server Software in conjunction with the licensed Server Computers. Server Software may be licensed for a Subscription Term as specified in the Quote.

  • Embedded Software To the extent any goods contain Embedded Software (defined below) that is not Buyer’s Property, no title to such Embedded Software shall pass to Buyer, and Supplier shall grant Buyer, its customers and all other users a non-exclusive worldwide, irrevocable, perpetual, royalty-free right to use, load, install, execute, demonstrate, market, test, resell, sublicense and distribute such Embedded Software as an integral part of such goods or for servicing the goods (the “Buyer-Required License”). If such Embedded Software or any part thereof is owned by a third party, prior to delivery, Supplier shall obtain the Buyer-Required License from such third-party owner. “Embedded Software” means software necessary for operation of goods and embedded in and delivered as an integral part of goods.

  • Software Inclusions Restrictions

  • Licensed Software Computer program(s) provided by Contractor in connection with the Deliverables, subject to Section 14 of this Contract.

  • Stored Materials The Department shall not be required to pay for materials stored at the site or stored at other locations absent prior written authorization to do so, which authorization may be withheld at the Department's sole discretion. If the Department expressly agrees to pay for materials stored at the site but not yet incorporated into the Work, the Application for Payment may also include a request for payment of the cost of such materials, if the materials have been delivered to the site, and suitably stored. Such requests shall be documented by appropriate invoices and bills of sale. Payment for stored materials shall be conditioned also on the Design-Builder’s representation that it has inspected the material and found it to be free from defect and otherwise in conformity with this Agreement, and on satisfactory evidence that the materials are insured under the builder’s risk policy. Further, if the Design-Builder requests the Department to allow payments for storage of materials offsite, the Design-Builder shall be required, inter alia, to agree to execution of proper documentation to afford the Department a secured interest in the materials upon payment.

  • Antivirus software All workstations, laptops and other systems that process and/or store PHI COUNTY discloses to CONTRACTOR or CONTRACTOR creates, receives, maintains, or transmits on behalf of COUNTY must have installed and actively use comprehensive anti-virus software solution with automatic updates scheduled at least daily.
