Disclosure by Recipient. A Recipient disclosing information under clause 15.3(a) or 15.3(b) (Disclosure of Confidential Information) must ensure that persons receiving Confidential Information from it are aware it is Confidential Information and do not disclose the information except in the circumstances permitted in clause 13.3 (Disclosure of Confidential Information).

Disclosure by Recipient. The Recipient may disclose such of the Confidential Information to such of the Recipient’s respective Affiliates and Representatives as require access to such information for purposes of the Activity only, provided that the Recipient shall only disclose such of the Confidential Information as needs to be disclosed to an Affiliate or Representative for such purposes, and provided that each such Affiliate or Representative agrees in writing to keep such information confidential pursuant to the terms of this Agreement. Each of the Parties is responsible for the undertakings of its respective Affiliates and Representatives to keep all Confidential Information confidential under this Agreement.

Disclosure by Recipient. A Recipient disclosing information under clause 11.3(a) or clause 11.3(b) must ensure that persons receiving Confidential Information from it are aware it is the other party’s Confidential Information.
Disclosure by Recipient. Recipient shall provide to the EDA, upon request, any and all business and financial records as may be necessary to confirm to the EDA that Recipient continues to be in good standing and operating successfully on the Redevelopment Property and that the Loan funds have been used in compliance with the approved purposes of the Loan. Recipient shall also provide to the EDA a year-end report annually until the Loan has been repaid in full following the effective date of this Loan Agreement. “Year-end” shall be defined as December 31, with the year-end report being due by the following January 31. The year-end reports shall demonstrate to the EDA the status or completion of the purposes for which the Loan was given and shall document the continuing existence of the business on the Redevelopment Property in Northfield and whether the business has created or retained jobs.
Disclosure by Recipient. Recipient may not disclose the Confidential Information to any other party except that Recipient specifically may disclose Confidential Information on a restricted and confidential basis to Recipient’s employees and other agents solely for the limited purposes permitted under this Agreement.

  • Exceptions to Confidential Information The obligations set forth in Section 13.1 (Confidential Information) shall not apply to the extent that Confidential Information includes information which is: (a) now or hereafter, through no unauthorized act or failure to act on the Receiving Party’s part, in the public domain; (b) was in the Receiving Party’s possession before receipt from the Disclosing Party and obtained from a source other than the Disclosing Party and other than through the prior relationship of the Disclosing Party and the Receiving Party before the Separation Date; (c) hereafter furnished to the Receiving Party by a third party as a matter of right and without restriction on disclosure; (d) furnished to others by the Disclosing Party without restriction on disclosure; or (e) independently developed by the Receiving Party without use of the Disclosing Party’s Confidential Information. Nothing in this Agreement shall prevent the Receiving Party from disclosing Confidential Information to the extent the Receiving Party is legally compelled to do so by any governmental, investigative or judicial agency pursuant to proceedings over which such agency has jurisdiction; provided, however, that prior to any such disclosure, the Receiving Party shall: (i) assert the confidential nature of the Confidential Information to the agency; (ii) immediately notify the Disclosing Party in writing of the agency’s order or request to disclose; and (iii) cooperate fully with the Disclosing Party in protecting against any such disclosure and/or obtaining a protective order narrowing the scope of the compelled disclosure and protecting its confidentiality.
