Discretionary Payments. Nothing herein shall preclude the Corporation from paying Executive such bonus or bonuses or other compensation, as the Board of Directors, in its discretion, may authorize from time to time.
Discretionary Payments. At any time or times during the Trust term, the Trustee shall pay to or apply for the benefit of each of the beneficiaries so much of the net income and principal of the Trust as the Trustee deems proper for the health, education, support, and maintenance of each of them. In making these payments, the Trustee may pay or apply more for some of the beneficiaries than for others, and may make payments to or for one or more beneficiaries to the exclusion of others. No amount paid or applied need thereafter be repaid to the Trustee or restored to the Trust. In exercising discretion, the Trustee shall give the consideration that the Trustee deems proper to all other income and resources that are known to the Trustee and that are readily available to the beneficiaries for use for these purposes. All decisions of the Trustee regarding payments under this subsection, if any, are within the Trustee’s discretion and shall be final and incontestable by anyone. The Trustee shall accumulate and add to principal any net income not distributed.
Discretionary Payments. If the market price of shares of Stock subject to the Option exceeds the exercise price of the Option at the time of its exercise, the Committee may cancel the Option and cause the Company to pay in cash or in shares of Common Stock (at a price per share equal to the fair market value per share) to the person exercising the Option an amount equal to the difference between the fair market value of the Stock which would have been purchased pursuant to the exercise (determined on the date the Option is cancelled) and the aggregate exercise price which would have been paid. The Committee may exercise its discretion to take such action only if it has received a written request from the person exercising the Option, but such a request will not be binding on the Committee. 7. EVENTS AFFECTING OUTSTANDING AWARDS
Discretionary Payments. At Owner’s discretion, Owner may make full payment of the Arrearage or may pay a higher amount than the Minimum Monthly Payment. Such payments shall be in the same manner as provided above.
Discretionary Payments. In directing discretionary payments of income or principal for the benefit of a Beneficiary, Trustor shall take into consideration any other public or private income or support received or property possessed by the Beneficiary and known to Trustor, but the extent to which such other income, support, or property must first be used or liquidated by the Beneficiary shall be in the absolute discretion of Trustor.
Discretionary Payments. 14.1 The Employer may from time to time elect to pay a discretionary payment such as an incentive based payment upon various considerations, including the profitability and future forecasts of the business and your performance.
14.2 Any payments made will be entirely discretionary and the Employer reserves the right to vary, alter or withdraw its arrangements without notice.
14.3 It is a condition of any arrangement that you are employed by the Employer at the time any payment falls due.
Discretionary Payments. Prior to the Limited Partner’s Special Withdrawal or Withdrawal, the Limited Partner shall be eligible to receive a discretionary payment with respect to each fiscal year (the “Discretionary Payment”), which may be paid as a guaranteed payment or a distribution of Net Income allocated to a Class C Non-Equity Interest in accordance with the Limited Partnership Agreement or pursuant to a different arrangement structured by the General Partner in its sole discretion; provided, however, that, in order to be eligible for any Discretionary Payment, the Limited Partner shall not have been subject to a Withdrawal or Special Withdrawal as of the last day of the fiscal year to which the Discretionary Payment relates. All decisions relating to any Discretionary Payments to the Limited Partner, including, without limitation, the amount of the Limited Partner’s Discretionary Payment, if any, for any fiscal year, shall be determined in the sole discretion of the Partnership, and any such determination shall be final. Any such determinations to make a Discretionary Payment in respect of a fiscal year shall not create or imply any obligation to pay a Discretionary Payment for any other fiscal year.
Discretionary Payments. Subject to Zames abiding by this agreement and not joining a Material Competitor before February 1, 2018, Zames will be eligible to receive two “Discretionary Payments.” JPMC will pay Zames a first Discretionary Payment of $4,625,000 in cash (less taxes and withholdings) on February 1, 2018 (or as soon as administratively possible thereafter). JPMC will pay Zames a second Discretionary Payment of $4,500,000 in cash (less taxes and withholdings) on February 1, 2019 (or as soon as administratively possible thereafter). These Discretionary Payments are subject to the JPMorgan Chase Bonus Recoupment Policy xxxx://xxx.xxxxxxxxxxxxx.xxx/corporate/About-JPMC/corporate-governance-principles.htm#recoupment. In addition, JPMC reserves the right in its sole discretion to recover from 50% of these Discretionary Payments in accordance with any Protection-Based Vesting, Recapture provisions (detrimental conduct, risk-related and other recapture provisions), and Recovery provisions as set forth in the terms and conditions of the 0000 XXX awards for Tier 1 employee. For avoidance of doubt, the Certification requirements for FCE treatment described above do not apply to the Discretionary Payments.
Discretionary Payments. 22.1 In certain circumstances, the Minister has the discretion to allow additional payments, as necessary, in any case where an Employee would be otherwise financially disadvantaged in the performance of his or her work.
Discretionary Payments. Publisher may from time to time accelerate the timing of certain payments to Author xxxxxxxxx in Publisher’s sole and absolute discretion.
