Dispatchable OPC Resources. (a) With respect to Dispatchable Resources, OPC hereby offers to sell to LPM on an exclusive basis, and LPM has the exclusive right, but not the obligation, to purchase from OPC any OPC Energy from LPM's Share of OPC Resources associated with Dispatchable Resources which is available during each Interval of the Term. OPC represents that the Dispatchable Resources (other than purchased power resources) are currently as of the Effective Date and shall, except for Allowed Dispatchable Outage Hours, remain during each Interval of the Term capable of the production and sale [_____]* set forth in Exhibit 3.2(i), and that LPM shall have the right, during each Interval during the Term to Schedule Electric Energy from each Dispatchable Resource to the extent of its availability. Exhibit 2.2.2 sets forth by Summer and Non-Summer Period designation the number of hours ("Allowed Dispatchable Outage Hours") for which the Dispatchable Resources may generate [_____]* set forth in Exhibit 3.2(i).

Dispatchable OPC Resources. With respect to OPC Resources other than Must Run Resources, OPC shall and hereby does offer to enter into Transactions to sell to Power Marketer on an exclusive basis and Power Marketer is hereby given the exclusive right, but not the obligation, to purchase from OPC any OPC Energy that is available during each hour of the Term; PROVIDED, HOWEVER, that OPC shall be permitted to make OPC Off-System Sales pursuant to the OPC Off-System Sales Contracts, which Electric Energy shall be provided to OPC by Power Marketer pursuant to Section 3.6 and at the prices set forth in Section 4.2 hereof. OPC shall use commercially reasonable efforts to make such dispatchable OPC Resources available for the production and sale of OPC Energy to Power Marketer during the Term, subject to the terms, conditions and limitations, if any, contained in the OPC Contracts. Power Marketer shall effect the acceptance of OPC's offer pursuant to the first sentence of this Section 3.5.2 by complying with the procedures set forth in Section 2.2 and 3.5.4 hereof. Except with respect to the power purchasers under the OPC Off-System Sales Contracts listed on Exhibit 3.5.2, OPC shall not be permitted to make off-system sales of Electric Energy during the Term to parties other than Power Marketer without the prior consent of Power Marketer.

  • ELECTRICAL SERVICES A. Landlord shall provide electric power for a combined load of 3.0 xxxxx per square foot of useable area for lighting and for office machines through standard receptacles for the typical office space.

  • Transactional Services The Service Provider shall communicate to its Customers, as to shares of the Fund, purchase, redemption and exchange orders reflecting the orders it receives from its Customers or from any brokers and banks for their Customers. The Service Provider shall also communicate to beneficial owners holding through it, and to any brokers or banks for beneficial owners holding through them, as to shares of the Fund, mergers, splits and other reorganization activities, and require any broker or bank to communicate such information to its Customers.

  • Red Flags Services (1) The provisions of this Section 3(c) (the “Red Flags Section”) shall apply in the event the Fund elects to receive the “Red Flags Services”, which are hereby defined to mean the following services:

  • Information Services The Custodian may rely upon information received from issuers of Securities or agents of such issuers, information received from Subcustodians or depositories, information from data reporting services that provide detail on corporate actions and other securities information, and other commercially reasonable industry sources; and, provided the Custodian has acted in accordance with the standard of care set forth in Section 6 (a), the Custodian shall have no liability as a result of relying upon such information sources, including but not limited to errors in any such information.
