Documentation for Transfer. The Tenant will promptly execute and the Tenant will cause the Transferee to promptly execute such agreements and documents as are necessary, in the opinion of the Landlord, to complete the Transfer. No assignment will be made other than to a Transferee which undertakes to perform and observe the obligations of the Tenant under this Lease by entering into an assumption agreement directly with the Landlord. The Tenant will pay to the Landlord its reasonable expenses arising out of the request for consent to a Transfer and for the change in possession of the Premises, including, but not limited to, legal and other professional fees and costs incurred in connection with the negotiation, review, processing and completion of the Transfer.

Documentation for Transfer. The Conveyance / Transfer Deed of the said Flat shall be executed and registered in favour of the Buyer after the Flat has been constructed and the entire Consideration together with all other dues and deposits, etc., have been received by the First Party and the Second Party. The Deed of Conveyance will be drafted by solicitors / advocates of the First party and Second Party and shall be in such form and contain such particulars as shall be approved by the First Party and Second Party. If the Buyer does not get the deed executed and registered within the date notified, the cost and consequences of the same, including taxes/penalties levied by any authority will be to the account of the Buyer. Before execution of Conveyance Deed, the Buyer would be required to pay to the First Party and Second Party cost of stamp duty, registration charges, documentation charges, Legal expenses and other related charges as may be levied by the Government from time to time for registration of the Conveyance Deed of his Flat.

The technology transfer to be undertaken under this Section 4.7 shall be overseen by the Joint Steering Committee. Any transfer of Know-How pursuant to this Section 4.7 shall be carried out on the basis of a specific technology transfer plan determined in good faith by the Parties and reflected in a technology transfer addendum to this Agreement, detailing at least the following activities together with appropriate timelines: (i) the provision by CureVac of soft copies and, to the extent reasonably required by GSK, hard copies of all Development Transfer Materials; (ii) the procurement by CureVac of the services of such qualified and experienced scientists and technicians, production and quality assurance personnel, engineers, and quality checking personnel as may be reasonably necessary to support the transfer of the Development Transfer Materials. Until completion of the transfer of the Development Transfer Materials, CureVac shall build and maintain a secure, readable, accessible and complete repository of the Development Transfer Materials.
