Effect of Termination or Expiration; Survival. Expiration or termination of this Agreement for any reason shall not release either Party hereto from any liability which at such time has already accrued or which thereafter accrues from a breach or default prior to such expiration or termination, nor affect in any way the survival of any other right, duty or obligation of either Party hereto which is expressly stated elsewhere in this Agreement to survive such termination. Notwithstanding the foregoing, the provisions of Sections 12.6, 12.7 and 12.8 and Articles 1, 7, 8, 10, 11 and 14 shall survive any expiration or termination of this Agreement.
Effect of Termination or Expiration; Survival. (i) Upon any termination or expiration of this Agreement, all rights and duties of the Company or [***] and Advisor toward each other shall cease except (i) in the event that this Agreement is terminated during a calendar quarter pursuant to Section 5(B) by Advisor or by the Company or [***] pursuant to Section 5(C), the Company or [***] will pro-rate the payment due and payable for such calendar quarter on a monthly basis and no payments will be due thereafter; (ii) the Company or [***] will pay Advisor for any related reimbursable expenses as set forth in Section 1(C)(ii) within thirty (30) days’ of receipt of Advisor’s final invoice; (iii) Advisor will immediately deliver to the Company or [***], as appropriate, and will not keep in Advisor’s possession, recreate, or deliver to anyone else, any and all Company or [***] property, including, but not limited to, Confidential Information, tangible embodiments of the Inventions, any reproductions of any of the foregoing items that Advisor may have in Advisor’s possession or control; and (iv) Articles 2, 3, 4, 6 and 7, as well as this Section 5(E) will survive termination or expiration of this Agreement. The obligations of Advisor under this Agreement shall survive, with respect to any particular Confidential Information, for a period of five (5) years after the termination or expiration date.
Effect of Termination or Expiration; Survival. (a) This Agreement is effective as of the Effective Date and, unless terminated earlier, will continue for the Term.
Effect of Termination or Expiration; Survival. Upon termination or expiration of this Agreement, neither Institution nor Blueprint will have any further obligations under this Agreement or in the case of termination or expiration of a Statement of Work, under that Statement of Work, except as provided in this Section 5.5. Blueprint’s liability for payment to Institution shall be limited for payment for Testing Services that are Completed on or before such expiration or termination. Within fifteen (15) days after the expiration or termination of this Agreement or any Statement of Work, Institution shall deliver to Blueprint a final invoice for the Testing Services that were Completed prior to the expiration or termination of this Agreement or the relevant Statement of Work, as the case may be, in accordance with Section 2 hereof, and payment on undisputed amounts in such final invoice shall be due forty-five (45) days after receipt of the invoice by Blueprint. The Parties acknowledge that the terms, conditions and obligations under Sections 3, 4, 5.5, 6.7, 6.8 and 7 will survive any expiration or termination of this Agreement.
Effect of Termination or Expiration; Survival. The respective rights and obligations of the Parties under the provisions of Sections 2.4.3 , 3.2.2.3, 7.6, 10.4, 10.5, 12.3.2, 14.2.3 and all of Articles 11, 13 and 15 will survive any termination or expiration of this Agreement In addition, in case of termination by either Party, Biosense will have the right to continue to Distribute then commercially available Daughter Products to customers, for use with Compatible NIOBE -- CARTO Systems installed or purchased prior to such termination, on reasonable commercial terms (and, where applicable, on terms consistent with its then commercial practice in respect of like products) during the commercial life of such systems.
Effect of Termination or Expiration; Survival. The termination or expiration of this Agreement shall not relieve either Party of any obligation accruing prior to such termination or expiration, nor shall any termination or expiration of this Agreement preclude either Party from pursuing all rights and remedies it may have under this Agreement under Applicable Law with respect to any breach of this Agreement. Notwithstanding anything in this Agreement to the contrary, Articles I, VIII, IX and X (other than with respect to Section 10.1), and Section 3.7(b), Section 5.1 and this Section 7.3 shall survive any termination or expiration of this Agreement.
Effect of Termination or Expiration; Survival. Upon termination or expiration of this Agreement for any reason whatsoever, all rights and obligations of both parties shall immediately cease and terminate, and all licenses granted hereunder will terminate unless such licenses are expressly stated as surviving. Each party shall return all of the other party’s content or property in its possession and discontinue the use of such content or property in any form. Except as otherwise provided herein, any termination or expiration of this Agreement shall be without prejudice to any other rights or remedies a party may be entitled to under this Agreement or at law or in equity and shall not affect any accrued rights or liabilities of either party nor the coming into or continuance in force of any provision of this Agreement which is expressly or by implication intended to come into or continue in force on or after such termination or expiration. Sections 1, 4, 9, 12 - 14, and 16 will survive termination or expiration of this Agreement for any reason. Upon any termination or expiration, Customer shall immediately pay Commerx any unpaid fees incurred prior to the effective date of termination or expiration.
