Employment/Consulting Agreements. Each of Xxxxxx Xxxxxxx -------------------------------- and Xxxxxx Xxxxx shall have executed and delivered the Employment Agreement, and Xxxxxxxx X. XxXxxxxx shall have executed and delivered the Consulting Agreement in the form of Exhibits C, D and E, respectively, attached hereto.
Employment/Consulting Agreements. Purchaser shall have entered -------------------------------- into a consulting agreement with Xxxx Xxxxx in the form of Exhibit B hereto. Purchaser shall have entered into employment agreements with Xxxxxx Xxxxxx and Xxxx Xxxxxx in the form of Exhibit C hereto.
Employment/Consulting Agreements. Xxxxxxx X. Xxxxxxxx shall have executed and delivered a Consulting Agreement and Xxxx X. Xxxxxxxx shall have executed and delivered an Employment Agreement, in each case in substantially the form that PSC has presented to them on the date hereof.

Employment/Consulting Agreements. Xxxx X. Xxxxxxxxx ---------------------------------- shall have executed an employment agreement with Exponential, in the form set forth in Exhibit C, and directors Xxxx X. Xxxxxxxxx, Xxxxxx X. Xxxxxxx, Xxxxxxx X. Xxxxxx, J. Xxxxxxx Xxxxxxx, Xxxx X. Xxxxxxx and Xxxxxxxx X. Xxxxxx shall each have entered into a consulting agreement with Exponential in the form set forth in Exhibit C. The Chief Executive Officer of Newtek shall also have provided a letter to Xxxxxxxx Xxxxxxxx stipulating the terms of her continuing employment with Exponential including a provision for a minimum term of six months. Employment/Consulting Agreements. 4MC shall have entered into a new -------------------------------- employment agreement with Xxxxxxxxx in form and substance attached hereto as Exhibit F, a consulting agreement with X. Xxxxxx in form and substance attached hereto as Exhibit G and a consulting agreement with Xxxxxx Xxx in form and substance attached hereto as Exhibit H.
Employment/Consulting Agreements. Acquiror shall have received from at least eight of the Key Employees a signed Employment Agreement (or, in the case of Mr. G.I. Ross, xx Employment and Consulting Agreements) in form and substance reasonably acceptable to Acquiror.
Employment/Consulting Agreements. Certain key employees of Company shall have agreed on terms of employment or consulting contracts to the satisfaction of SciQuest.
Employment/Consulting Agreements. Xxxxxxx X. Xxxxxxxx shall have accepted employment with Buyer or its Affiliates effective as of the Closing and shall have executed and delivered to Buyer his counterpart signature page to his Employment Agreement. In addition, Xxxxx Xxxxxxxx shall have executed and delivered to Buyer his counterpart signature page to his consulting agreement with Buyer, on substantially the form attached hereto as Exhibit D.
Employment/Consulting Agreements. The Key Employees shall have executed and delivered to Purchaser employment agreements substantially in the form of Employment Agreement attached hereto as Exhibit II.B.6-A ("Employment Agreement"), and the Key Consultants shall have executed and delivered to Purchaser consulting agreements substantially in the form of Consulting Agreement attached hereto as Exhibit II.B.6-B ("Consulting Agreements").
