Employment of Key Personnel. All employees of the Company identified by Purchaser as key to the successful continuation of the Company’s business, including but not limited to Sellers Xxx Xxxxx and Xxxx Xxxxxx and also Xxxxx Xxxxxxx, shall have agreed to accept continued employment with the Company or Purchaser on terms satisfactory to Purchaser to be set forth in offers of employment to be conveyed by letter, including but not limited to * and non-solicitation provisions extending at least one (1) year after the last payment of compensation thereunder (the “Employment Arrangements”).
Employment of Key Personnel. Xxxxxxxx shall have executed and delivered to Buyer an employment agreement substantially in the form attached hereto as Exhibit C and Xxxxx shall have executed and delivered to Buyer an employment agreement substantially in the form attached hereto as Exhibit D.
Employment of Key Personnel. Buyer shall have reached agreement, on terms satisfactory to Buyer, with such key personnel as it deems necessary to consult with Buyer or to operate the business from and after the closing date, which key personnel shall be listed on Schedule 6.3 attached hereto. Buyer shall be reasonably satisfied that no employees of the Business will voluntary resign as a result of the transaction.
Employment of Key Personnel. The Surviving Corporation shall have entered into employment agreements with the Persons listed on EXHIBIT 4.11 on terms mutually agreeable to the parties acting reasonably.
Employment of Key Personnel. XXXX and its Subcontractors will employ key personnel in connection with the Work, in categories of persons identified in Exhibit B (collectively, "Key Personnel") and each of whom will be acceptable to and approved by City.

Buyer shall have obtained agreements from the directors, employees, and other persons deemed by Buyer to be key personnel of Seller and/or DCTI set forth on Schedule 7.1(k), on terms and conditions mutually satisfactory to Buyer and such directors, employees, and persons, with respect to their continued employment with Buyer after Closing;

Xxxxxxx, Xxxxxx Xxxxxxx, Xxxxxxx XxXxxxxxx and Xxxxx Xxxxx shall enter into one (1) year Employment Agreements simultaneously herewith in the form attached hereto as Exhibit Y that provide for salaries comparable to those currently being paid to said individuals.
Employment of Key Personnel. The Program Manager (PM) shall be a full-time employee of the prime Contractor at the time of BPA award. The Contractor shall furnish the name, phone number, and resume of the Program Manager and other pertinent information as required by the Government at the time of award. All other key personnel shall be full-time employees of the Contractor team (i.e., either the prime Contractor or subcontractors, if any are proposed) at the time of BPA award. If the Contractor proposes to use any individuals to fulfill key positions who are not current employees of the Contractor’s team; then the Contractor shall furnish a letter of commitment signed by the individual which clearly states their availability for employment and their commitment to accept employment if approved/selected by the Government.
Employment of Key Personnel. At all times during the term of the Loan, absent the approval of the Administrative Agent, at least two (2) of Xxxx X. Xxxxx, Xxxxxxx X. Xxxxx and Xxxx X. Xxxx shall remain employed or otherwise engaged in their respective positions with the Borrowers and Subsidiaries, as applicable, with no material change to their titles, roles or duties.
