Key Positions. (1) BNY Mellon shall assign members of the Service Delivery Organization to fill the key roles identified in Exhibit 5 (each, a “Key Position”). The individuals filling the Key Positions shall perform the Services for the period of time and at the level of dedication set forth in Exhibit 5 for the applicable Key Position.
(2) Before assigning an individual to a Key Position, whether as an initial assignment or during the Term as a replacement, BNY Mellon shall: (a) notify Voya of the proposed assignment; (b) introduce the individual to appropriate representatives of Voya; (c) provide Voya with a resume for the individual; and (d) obtain Voya’s approval for such assignment. If Voya does not approve such individual, BNY Mellon shall as soon as reasonably possible propose a replacement to Voya in accordance with this Section. BNY Mellon shall provide Voya with an updated list of all individuals filling Key Positions upon request by Voya.
(3) BNY Mellon shall not replace or reassign an individual filling a Key Position for the period of time set forth in Exhibit 5 (measured from the date that such individual is first assigned to the applicable Key Position), unless: (a) the Voya Executive consents to such reassignment or replacement; or (b) such individual (i) voluntarily resigns from, or is dismissed by, BNY Mellon, (ii) fails to perform his or her duties and responsibilities pursuant to the Agreement, or (iii) dies, is disabled or is placed on long-term medical leave, provided that BNY Mellon shall use commercially reasonable efforts to avoid disrupting the Services as a result of replacing individuals filling Key Positions.
Key Positions. (a) The key positions identified under paragraph 1 of this Annex will be filled by one or more nationals of each of the coproducing States.
(b) One of those key positions may be filled by a non-party national.
(c) In the case of a high-budget work, the administrative authorities may, by mutual written consent, allow a second non-party national to fill one of those key positions. The threshold for what constitutes a high-budget work will be defined by the administrative authorities of each Party, and applied accordingly as mutually determined by those authorities.
Key Positions. Coupa will staff its project team with qualified individuals, including individuals, if any, in the key roles identified as “Key Positions” (the “Key Positions”) in the applicable SOW. Coupa shall maintain staffing levels as reasonably necessary to properly perform Coupa’s obligations under this Supplement. Coupa shall not unreasonably remove any individual in a Key Position during the performance of the applicable SOW, without the prior written notice to Customer. If expressly stated in the applicable SOW, Coupa shall assign a project manager (the “Coupa Project Manager”) to interface with the Customer Project Manager (as defined below).
Key Positions. Upon Execution of this Contract, Contractor shall provide to the Department a list of individuals authorized by Contractor who have responsibility for monitoring and ensuring the performance of each of the duties and obligations under this Contract, and their résumés. Contractor shall maintain an administrative and organizational structure that supports a high‐quality, comprehensive managed care system. Contractor shall fill vacant key positions in a timely manner. Contractor shall employ or contract for senior‐level managers with sufficient experience and expertise in healthcare management, and employ or contract with skilled clinicians for medical management activities. Contractor shall ensure all positions are located in Illinois. This list of individuals in an administrative capacity, and their résumés, shall be updated by Contractor throughout the term of this Contract as necessary and as changes occur. Contractor shall provide written notice of such changes to the Department no later than two (2) Business Days after such changes occur. At a minimum, Contractor shall provide the key positions identified in this section (either through direct employment or contract). The Department acknowledges that the position titles in this section may not be the position titles that Contractor currently uses and that position titles may change from time to time. The Department further acknowledges that employees who are required to be full time may also have some responsibilities for Contractor’s other operations. Contractor warrants that such responsibilities shall never detract from or conflict with the obligation to provide the equivalent of full time resources to ensure the Contract requirements are met. Failure to meet the requirements of this section 2.3 may result in a monetary performance penalty pursuant to section 7.16 and any other applicable provision of Article VII of this Contract.
Key Positions. 5%
(1) Identify each key personnel member that will render services to the City (name, title and relevant experience) including the proposed project manager and project staff, but not limited to:
(a) JOC Account Manager (identify one)
(b) Project Manager (identify two) (c) Construction Superintendent (identify two)
(2) Indicate the roles and responsibilities of each key position. Include senior members of the Contractor only from the perspective of what their roles will be in providing services to the City.
(3) If a subcontractor will be used for all work of a certain type, include information on this subcontractor. A detailed plan for providing supervision must be included.
(4) Attach a résumé and evidence of certification, if any, for each key personnel member and/or subcontractor to be involved in this Project. Résumés should be attached together as a single appendix at the end of the SOQ and will not count toward the SOQ page limit. However, each resume shall not exceed two pages in length.

Key Positions. Key County and Key Service Provider Positions are specified in Exhibit A attached hereto.
Key Positions. The qualifications and experience of certain ABX scientific and technical positions considered by AZ to be important to the conduct of the Research Programs and Development Programs (the “Key Positions”) are listed on Exhibit I. If any persons serving in Key Positions are to be substituted, then ABX shall give written notice to AZ thereof, and the Parties shall meet and discuss in good faith ABX’s plans for the substitution thereof. ABX shall not substitute persons to serve in the Key Positions who do not have the specified qualifications and experience, without the prior written approval of AZ, which approval shall not be unreasonably withheld or delayed. Notwithstanding the foregoing, ABX shall continue to be responsible for performing its activities under the Research Programs and Development Programs, and any substitution pursuant to this Section 2.9 shall not be deemed to be a waiver of any failure of ABX to conduct its activities under this Agreement.
Key Positions. Xxxxxx employs a well-balanced staff of 80 including engineering, surveying, construction, and administrative professionals. We have 41 PEs, 4 RLSs, 3 surveyors, 10 EITs, 7 Designers, 5 CAD Technicians, and 10 administrative personnel. The depth of our experience and the expertise of our engineers and technical specialists provides Xxxxxx with the resources to effectively respond and commit to this on-call contract. All team members reside in the Phoenix Metro Area and work at our Phoenix or Goodyear offices. contract. He has 31 years of experience throughout Arizona providing consulting engineering services to municipalities, counties, and state departments and serves as the Chief Operations Officer at Xxxxxx. His specialized areas of expertise are in water/wastewater facilities, providing analysis and design, system modeling, alignment/siting studies, master plans, concept reports, benefit/cost analysis, preliminary and final project design, bid document preparation, construction costs, quality assurance, and construction administration.
Key Positions. “Key First Data Positions” are listed in Schedule D. First Data shall cause each of the personnel filling the Key First Data Positions to devote his or her full time and effort to the provision of the Services.
