Employment of Officers, Employees. The name and current annual salary and other compensation payable by the Company to each exempt non-hourly employee whose current total annual compensation or estimated compensation from the Company (including but not limited to wages, salary, commissions, normal bonus, profit sharing, deferred compensation, and other extra compensation) are as set forth in Section 7.23 of the Disclosure Schedule. Except to the extent otherwise disclosed in Section 7.23 of the Disclosure Schedule, none of the current or former officers, directors, employees or consultants of the Company is a party to, or the beneficiary of, any agreement, plan or arrangement that provides for any payment (whether of severance pay or otherwise) becoming due to such current or former officer, director, employee or consultant upon termination of his or her relationship with the Company or as a result of the Merger, or that provides for the vesting, acceleration of payment, or increases in the amount of any benefit payable to or in respect of such current or former director, officer, consultant, or employee upon termination of his or her relationship with the Company or as a result of the Merger.
Employment of Officers, Employees. The Company has delivered to the Purchasers (a) a list setting forth the name and current annual salary and other compensation payable by the Company to each of its employees, which list is true, accurate and correct as of the date of this Agreement, and (b) a list setting forth the names of positions and/or persons the Company intends to fill and/or hire within thirty (30) days of the Closing.
Employment of Officers, Employees. All of the individuals performing services to or on behalf of the Companies are treated as employees of one or more of the Employee Leasing Companies and CNYOG. A copy of all written Contracts and Other Agreements involving any Company and any Employee Leasing Company is attached as Schedule 5.18 and an accurate and complete list of the name and current annual salary and other compensation paid by each of the Employee Leasing Companies with respect to each of these individuals for performing services to or on behalf of the Companies is also set forth on Schedule 5.18.
Employment of Officers, Employees. Section 5.26 of the Seller Disclosure Schedule lists the name and current annual salary and other compensation payable by each Seller or the Seller Subsidiary to each exempt non-hourly employee, officer and director of the Sellers and the Seller Subsidiary (as applicable) (including but not limited to wages, salary, commissions, normal bonus, profit sharing, deferred compensation, and other compensation).

The name and current annual salary and other compensation payable by it or any of its Subsidiaries to each exempt non-hourly employee whose current total annual compensation or estimated compensation (including but not limited to wages, salary, commissions, normal bonus, profit sharing, deferred compensation, and other extra compensation, but excluding the value of employee stock options and employee stock purchase rights granted) is $120,000 or more, with the exception of sales personnel who are not officers, are as set forth in Section 5.20 of its Disclosure Schedule.
Employment of Officers, Employees. Schedule 3.16 sets forth the ---------- -- -------- --------- -------- ---- name and current annual salary and other compensation payable by Xxxx-Star or any of its Subsidiaries to each exempt non-hourly employee whose current total annual compensation or estimated compensation from Xxxx-Star or any of its Subsidiaries (including but not limited to wages, salary, commissions, normal bonus, profit sharing, deferred compensation and other extra compensation) is $10,000 or more.
Employment of Officers, Employees. The Company SEC Documents set forth those persons who served as chief executive officer during the Company's 2002 fiscal year and each of the Company's other executive officers who earned (or accrued) compensation in excess of $100,000 during the year ended December 31, 2002.
Employment of Officers, Employees. The Disclosure Schedule sets forth an accurate and complete list setting forth the name and current annual salary and other compensation payable by the Company or any of the Subsidiaries to each exempt non-hourly employee of any of them, including any obligations of any of them to increase such salary and/or other compensation in the future (whether based on any contingency or otherwise).

Schedule 4.16 sets forth the name and current annual salary and other compensation payable by any of the Companies to each exempt non-hourly employee whose current total annual compensation or estimated compensation from any of the Companies (including but not limited to wages, salary, commissions, normal ordinary type bonus, profit sharing, deferred compensation and other extra compensation) is $50,000 or more.
Employment of Officers, Employees. Section 3.25 of the Disclosure Schedule lists the name and total annual compensation payable by Holding or any of its Subsidiaries for the calendar year ended December 31, 1997 to each exempt non-hourly employee (a) whose base salary for the calendar year ended December 31, 1997, or current annual base salary, is $200,000 or more, or (b) who received bonuses for the calendar year ended December 31, 1997, of $50,000 or more.
