Engagement for Services. The Municipality hereby engages the Service Provider for the Term to render the Services. The Service Provider hereby accepts the engagement and covenants to render the Services in accordance with this Agreement and in a timely manner and at such times as are agreed upon by the Service Provider and the Municipality.
Engagement for Services. Subject to and contingent upon Contractor providing services as an employee of Adicet through the Resignation Date and the Closing occurring (each as defined in that certain letter agreement, dated on or about the date hereof, by and between Contractor and Adicet, as amended, modified or restated from time to time (the “Transition Agreement”)), Adicet hereby engages Contractor to perform the services (the “Services”) described on Exhibit A on the terms and conditions of this Agreement from and after the Resignation Date (the “Start Date”). Contractor hereby accepts such engagement, and shall perform the Services and otherwise act in strict accordance with the terms and conditions of this Agreement. Contractor shall comply with all applicable Adicet policies and procedures in the performance of the Services. Contractor shall perform the Services in accordance with all applicable laws, regulations and the highest professional industry standards. Except as otherwise provided herein, Adicet shall not control the manner or means by which Contractor performs the Services.
Engagement for Services. Company hereby engages Contractor to perform the services (the “Services”) described on Exhibit A in accordance with the schedule set forth thereon and the terms and conditions of this Agreement. Contractor hereby accepts such engagement and shall perform the Services and otherwise act in strict accordance with the terms and conditions of this Agreement. Contractor shall comply with all applicable Company policies and procedures in the performance of the Services. Contractor shall perform the Services in accordance with all applicable laws, regulations and the highest professional industry standards.
Engagement for Services. The Service Recipient hereby agrees to engage the Service Provider to provide certain services (the “Services”), specifically the deliverance of certain communications, notices, agreements, disclosures and documents (“Documents”) electronically to Service Recipient’s clients via text messaging (SMS), email or other electronic means; to provide said Documents electronically, rather than in paper form, subject to the provisions of the E-Sign Act, and to securely store and maintain all original executed Documents as a licensed E-Vault provider subject to the Electronic Control Agreement (“ECCA”) attached hereto as Exhibit “B.” The Services will be provided pursuant to the terms of this Service Agreement for the fee described in Article III, and the Service Provider agrees to perform or contract for the performance of the Services in accordance with the terms of this Service Agreement. In the event Service Recipient does not request or require an ECCA agreement for the Services rendered, the Agreement will not contain an Exhibit “B” as outlined above.
Engagement for Services. 2.1 The Consultants are free to contract with other vendors to market their products and services. PCA also reserves the right to engage in direct solicitations itself of its own Work Product as it becomes available to both existing and new customers, as well as other providers (Insurance Companies, TPAs, Consultants, Brokers, etc.).
Engagement for Services. Cartesian may from time to time hire Consultant to perform services and develop computer software and other intellectual property for and on behalf of Cartesian. Cartesian agrees to pay Consultant for such services in accordance with Consultant’s then current hourly rates or such other payment terms as may be agreed to between the parties.
Engagement for Services. Company hereby engages REDWOOD to be a provider of those services described on Exhibit “A” (the “Services”), attached hereto and incorporated herein by reference, during and throughout the Term. The Services may be amended and revised at any time only by mutual written consent of the Parties. The engagement of REDWOOD hereunder is “non-exclusive” and the Company may hire any other person or entity to perform the same or similar Services.
Engagement for Services. CHCF hereby engages Contractor to perform the services ("Services") set forth in Exhibit B attached hereto.
Engagement for Services. Viewlocity hereby engages Consultant and Consultant agrees to be so engaged on the terms and conditions set forth in this Agreement to perform certain services as described on EXHIBIT A attached hereto (the "Services"). Consultant shall undertake and accomplish the Services with quality standards accepted by Viewlocity and shall provide to Viewlocity in regular intervals (as reasonably requested by Viewlocity) interim reports detailing the activities and accomplishments concerning the Services performed. In performing the Services, Consultant shall communicate with the Viewlocity manager specified on EXHIBIT A.
Engagement for Services. 2.1 The Consultant will act as a Business Consultant and will provide pharmacy management services. The Consultant will provide full time services if at least 40 hours a week provided to PCA.
