Enterprise Software Advisor Fees. (a) The purpose of an Enterprise Software Advisor Fee is to compensate you for providing support and services to customers, and not for services you render on behalf of a customer when the customer pays you directly. You are entitled to receive an Enterprise Software Advisor Fee only when we receive payment in full of each individual invoice for Enterprise Software Products under an Enterprise Enrollment with respect to which you have been designated as the Enterprise Software Advisor and for so long as that designation remains current. Participation as an Enterprise Software Advisor in the ESA Program does not guarantee that you will earn any fees unless the preceding conditions are met. Enterprise Software Advisor Fees are as specified in the attached Schedule B. Fees are calculated by multiplying the relevant percentages (in Exhibit B) by the value of the relevant payment received (in the currency in which it is received) from the Enterprise Enrollment and are net of any sales, use, value added or other comparable taxes or governmental charges collected from the Enterprise Agreement Customer, and net of returns and adjustments. The Enterprise Software Advisor Fee Level will be set on the date the Enterprise Enrollment is executed by us and will not be adjusted for increases or decreases in desktop commitment.

The enterprise software advisor fee level will be set on the date the enterprise enrollment is executed by us and will not be adjusted for increases or decreases in desktop commitment. • All enterprise software advisor fees are payable only on licensed software under enterprise enrollments where your designation by the customer is current and will not be paid if an enterprise enrollment with respect to which you have been designated expires or terminates or is withdrawn for any reason. Enterprise software advisor fees will be paid only to the enterprise software advisor of record at the time we invoice the customer. • Payment of enterprise software advisor fees is dependent on your satisfactory performance of the functions specified in schedule A, as determined by us in our sole but reasonable discretion. We may withhold or reduce enterprise software advisor fees for any individual enterprise enrollment at our discretion (not to exceed the percentages outlined on schedule B) if you are in breach of any of your obligations under this agreement. • Enterprise software advisor fees will not be paid for any other agreement between the customer and us or for any customer order for services other than provided under the applicable enterprise agreement or enterprise enrollment. You do not expect and are not entitled to any payments for your activities under or relating to this agreement other than fees as stated in this agreement. • If we allow a customer to make unequal annual payments, the annual enterprise software advisor fee will be calculated as if all annual payments were equal. Enterprise Software Advisor Fees. (a) COMPANY is entitled to receive an Enterprise Software Advisor Fee when MICROSOFT receives payment in full (for which full payment of pre-approved instalment payments is considered payment in full) for each individual invoice for Enterprise Software Products under an Enterprise Enrollment with respect to which COMPANY has been designated as the Enterprise Software Advisor and for so long as that designation remains current. In the event of an Enterprise Agreement Customer fails to make payment in full, MICROSOFT will work with COMPANY to cause the Enterprise Software Advisor Fee related to the payment to be paid to COMPANY. Enterprise Software Advisor Fees are as outlined in the attached Schedule B. Fees are calculated net of any sales, use, value added or other comparable taxes or governmental charges collected from the Enterprise Agreement Customer, and net of returns and adjustments.   • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition.

  • Company Software “Company Software” shall mean any software (including software development tools and software embedded in hardware devices, and all updates, upgrades, releases, enhancements and bug fixes) owned, developed (or currently being developed), used, marketed, distributed, licensed or sold by an Acquired Corporation at any time (other than non-customized third-party software that is not incorporated into any Company Product and is licensed to an Acquired Corporation solely in object code form and solely for internal use on a non-exclusive basis).

  • Support Services HP’s support services will be described in the applicable Supporting Material, which will cover the description of HP’s offering, eligibility requirements, service limitations and Customer responsibilities, as well as the Customer systems supported.

  • Hosting 46.7.4.1 At CLEC’s request, SBC-SWBT and SBC-AMERITECH shall perform hosting responsibilities for the provision of billable message data and/or access usage data received from CLEC for distribution to the appropriate billing and/or processing location or for delivery to CLEC of such data via SBC-SWBT’s and SBC-AMERITECH’s internal network or the nationwide CMDS network pursuant to the applicable Appendix HOST, which is/are attached hereto and incorporated herein by reference.
