Upon the occurrence of an event in clause (b) or (c), Betterment will liquidate all holdings of the Account, deduct any accrued but unpaid Wrap Fees and Advisor Fees, and disburse the remaining proceeds from liquidation to Client.
Payments will also be due (i) immediately upon notice provided by either party of intent to terminate this Sub-Advisory Agreement and (ii) prior to a withdrawal that is equal to or greater than 98% of the market value of the Account at that time minus the amount of accrued but unpaid Wrap Fees and Advisor Fees.
