Entire Agreement; Conflicting Terms. This Agreement forms part of and is incorporated by reference into the OBSA. Except as amended by this Agreement, the OBSA remains in full force and effect. In the event of any conflict between this Agreement and the OBSA, this Agreement shall govern with respect to the Service.
Entire Agreement; Conflicting Terms. Customer acknowledges that it has read and understands the terms and conditions of this Agreement and agrees to be bound by them. Furthermore, Customer agrees that this Agreement, consisting of the Proposal and these Terms and Conditions, constitutes the entire understanding between the Parties and supersedes all prior, contemporaneous or subsequent agreements or offers, whether oral or written. To the extent that any provision(s) in the Proposal (or any other prior, contemporaneous or subsequent agreements or offers, whether oral or written) conflicts with the provisions in these Terms and Conditions, these Terms and Conditions shall control unless the Parties explicitly agree otherwise in a writing signed by both Parties’ authorized representatives.
Entire Agreement; Conflicting Terms. This IP Assignment Agreement and the Purchase Agreement (in each case, including all Schedules and Exhibits hereto and thereto) contain the entire agreement between the Parties with respect to the subject matter hereof and supersede all prior agreements and understandings, oral or written, with respect to such matters, except for (i) subject to Section 6.15(a) of the Purchase Agreement, the Confidentiality Agreement which will remain in full force and effect for the term provided for therein and (ii) any written agreement of the Parties that expressly provides that it is not superseded by this IP Assignment Agreement or the Purchase Agreement. Nothing herein shall be deemed to limit the rights, duties and obligations of the Parties under the Purchase Agreement and, to the extent of any conflict between the terms and conditions of this IP Assignment Agreement and the terms and conditions of the Purchase Agreement, the terms and conditions of the Purchase Agreement shall govern, supersede and prevail.
Entire Agreement; Conflicting Terms. This Term Sheet, together with the Agreement, any other documents incorporated herein by reference and all related Exhibits, constitutes the sole and entire agreement of the Parties with respect to the subject matter of the Agreement and supersedes all prior and contemporaneous understandings, agreements, and representations and warranties, both written and oral, with respect to such subject matter. In the event of any inconsistency between the statements made in the body of this Term Sheet, the Agreement, the related Exhibits, and any other documents incorporated herein by reference, the following order of precedence governs: (i) first, the Agreement, excluding its Exhibits; (ii) second, this Term Sheet; (iii) third, the Exhibits to the Agreement as of the Effective Date; and
Entire Agreement; Conflicting Terms. This Agreement sets forth the entire understanding between the parties regarding the subject matter hereof and shall not be altered or modified in any way other than by a written document executed by both parties. All Exhibits referred to in this Agreement and attached hereto are essential provisions of this Agreement, are to be construed in harmony with each to give purpose and effect to the fulfillment of the obligations and responsibilities of the parties and are incorporated herein by this reference as if set out herein verbatim. In the case of any conflicts between the terms of this Agreement and the Exhibits, the statements in the body of this Agreement shall govern.
Entire Agreement; Conflicting Terms. This Addendum forms part of and is incorporated by reference into the Agreement. Except as amended by this Addendum, the Agreement remains in full force and effect. In the event of any conflict between this Addendum and the Agreement, this Addendum shall govern with respect to the Mobile Banking service.
Entire Agreement; Conflicting Terms. The Lender has not made any representation or agreement or undertaken any obligation in connection with the subject matter of this Agreement other than as specifically set out herein and in any other document executed by the Lender.
Entire Agreement; Conflicting Terms. The Parties hereby confirm and agree that, as amended hereby, the Agreement, including the payment terms set forth therein as expressly amended by this Amendment No. 1, remains in full force and effect and is a binding obligation of the Parties, and their respective successors, heirs, administrators, and permitted assigns. To the extent that anything set forth in this Amendment No. 1, either expressly or by interpretation, conflicts with any of the terms or provisions set forth in the Agreement, the terms of this Amendment No. 1 shall supersede and control.

Nothing herein shall be deemed to limit the rights, duties and obligations of the Parties under the Purchase Agreement and, to the extent of any conflict between the terms and conditions of this Agreement and the terms and conditions of the Purchase Agreement, the terms and conditions of the Purchase Agreement shall govern, supersede and prevail.
Entire Agreement; Conflicting Terms. This Agreement together with the Assignment of Invention Agreement constitute the entire understanding of the Parties relating to the subject matter hereof and thereof and supersede all prior agreements, understandings, arrangements, promises and commitments, whether written or oral, express or implied, relating to the subject matter hereof and thereof, and all such prior agreements, understandings, arrangements, promises and commitments, are hereby canceled and terminated. In the event of any conflict or disagreement between the terms of this Agreement, including but not limited to Article 4, and the Assignment of Invention Agreement, the terms that provide the greater protection to the Company Group shall control and take precedence.
