Equipment and Other Personal Property. The Equipment and other personal property of the Borrowers is in good operating condition and repair, and all necessary replacements of and repairs thereto shall be made so that the operating efficiency thereof shall be maintained and preserved, reasonable wear and tear excepted, except where the failure to so maintain the same could not reasonably be expected to have a Material Adverse Effect. No Borrower will permit any Equipment or other personal property to become affixed to any Real Property leased to any Borrower so that an interest arises therein under the real estate laws of the applicable jurisdiction unless the landlord of such Real Property has executed a landlord waiver or leasehold mortgage in favor of and in form reasonably acceptable to the Purchaser, and no Borrower will permit any of the Equipment or other personal property to become an accession to any personal Property other than Equipment or other personal property that is subject to first priority Liens (except for Permitted Liens) in favor of the Purchaser.
Equipment and Other Personal Property. To the extent not included on Schedule 5.7.2, Schedule 5.7.3 is a complete and accurate list, broken down by Project, of all equipment, plant, machinery, installations, tools, spare parts, furniture, supplies, vehicles and other personal property which are owned by CHI Maine and which have a value in excess of $10,000 and Schedule 5.7.3 specifically indicates any such item of property which is not located on or at a Site and identifies the location thereof.

Equipment and Other Personal Property. All equipment, machinery, spare parts, automobiles, trucks, vehicles, tools, operating and office supplies, chemicals, furniture, fixtures, computer hardware and software, and other tangible property ("EQUIPMENT"), either in the form of a transfer of the ownership interest therein or as part of the leasehold interests created under Paragraph 1 of this Schedule 1.01(a).
Equipment and Other Personal Property. Licensee shall provide all equipment, trade fixtures and other personal property required for the Licensed Use, including, without limitation, kitchen equipment, cash registers, and anything else necessary for the satisfactory operation of the Licensed Use. Licensee shall repair, maintain and replace said equipment, trade fixtures and other personal property as is reasonably necessary. Any additional supplies needed shall be provided by Licensee including expendable items such as flatware, dishes, trays, glasses, cooking utensils, employee uniforms, condiment dispensers, and decorative items required for the proper operation of the Licensed Use as determined by Licensor pursuant to this License Agreement. Without waving any lien rights it may have, statutory or otherwise, ownership of all equipment, trade fixtures and other personal property brought onto the Licensed Premises by Licensee shall at all times be by and remain with Licensee. Notwithstanding the foregoing, certain Court-owned furniture is already present on the Licensed Premises including tables and chairs as further identified on the exhibit attached hereto as Exhibit “C” (“Court-Owned Furniture”) which may be used by Licensee in its Licensed Use of the Licensed Premises as a Food Service Facility during the Initial Term and any Extension Term. At all times during such use, Licensee shall be responsible for regular maintenance and repair of the Court-Owned Furniture as well as its cleanliness and appearance.
Equipment and Other Personal Property. All equipment, furniture, computer hardware, fixtures, improvements and other tangible personal property, wherever located, owned by Seller for use or used primarily in the operation of Division's business, except for Excluded Assets, and otherwise including, without limitation, the equipment, furniture, computer hardware, fixtures, improvements and other tangible property described in Schedule 1.1.1 to the Disclosure Memorandum (which Schedule also lists the location of such property) and, to the extent actually assignable or transferable, all rights to the agreements with and warranties received from the manufacturers and distributors of all such personal property and fixtures and any related contract rights, choices in action, claims, credits, rights of recovery and setoffs with respect to such personal property and fixtures. Within five business days prior to the Closing Date, Seller will provide Purchaser with an updated Schedule 1.1.1 that contains a complete inventory of the items described on such Schedule, including cost, book value and acquisition date, estimated as closely as possible where necessary.

To the knowledge of RP, the RP Personal Property is free of any structural or engineering defects. The Pool Tech Personal Property, including its equipment and machinery, is suitable for the purposes for which intended and in good operating condition and repair consistent with normal industry standards. To the knowledge of Pool Tech, the Pool Tech Personal Property is free phx-srv01\1470349v04 of any structural or engineering defects. During the past five years there has not been any significant interruption of the Pool Tech Business due to inadequate maintenance or obsolescence of any of the Pool Tech Personal Property.
