Escrow Release Notice. (a) If a Termination Event has not occurred and the Escrow Release Condition is satisfied, the Corporation shall deliver the Escrow Release Notice to the Subscription Receipt Agent and the Investors provided that the Corporation may deliver the Escrow Release Notice to the Subscription Receipt Agent and the Investors not more than five Business Days prior to the anticipated Acquisition Closing Date.
Escrow Release Notice. If the Conditions Precedent Certificate set forth in Section 4.1(1) hereof has been delivered to the Co-Lead Agents, the Corporation and the Co- Lead Agents shall as soon as reasonably practicable thereafter deliver to the Subscription Receipt Agent the Escrow Release Notice, executed by the Corporation and the Co-Lead Agents.
Escrow Release Notice. (a) If the Escrow Release Conditions are satisfied (or in respect of the satisfaction or waiver of the escrow release conditions under the Other Investor Subscription Receipt Agreement, are expected to be satisfied substantially concurrently therewith and the Corporation has no reason to believe they will not be satisfied) and the Acquisition Closing Time is scheduled to occur on or prior to 11:59 pm (Montreal time) on the Outside Date, the Corporation shall deliver the Escrow Release Notice to the Subscription Receipt Agent and the Investor.
Escrow Release Notice. If the Escrow Release Conditions are satisfied on or before the Deadline, the Corporation shall, no later than the Transaction Closing:

If the Conditions Precedent Certificate set forth in Section 4.1(1) hereof has been delivered to the Lead Agent, the Corporation, IMC, Navasota and the Lead Agent shall as soon as reasonably practicable thereafter deliver to the Subscription Receipt Agent the Escrow Release Notice, executed by the Corporation, IMC, Navasota and the Lead Agent.
Escrow Release Notice. The Company and the Escrow Agent shall have received an escrow release notice, substantially in the form attached hereto as Exhibit C, duly executed by the Purchasers purchasing Shares at such Closing, acknowledging and agreeing to the per share Purchase Price specified therein and authorizing and directing the Escrow Agent to release the aggregate Purchase Price to the Company on the date of such Closing specified therein (the “Release Notice”).
Escrow Release Notice. The Subscription Receipt Agent will take the actions and comply with the requirements set forth in Section 6.3 and the Subscription Receipts issued pursuant to the Brokered Offering, or the Non-Brokered Offering, as applicable, shall be automatically converted into the applicable Underlying Securities pursuant to Section 4.1(3) upon:
