Experience; Risk. Purchaser has such knowledge and experience in financial and business matters that Purchaser is capable of evaluating the merits and risks of the purchase of the Warrant Shares and of protecting Purchaser’s interests in connection therewith. Purchaser is able to fend for itself in the transactions contemplated by this Agreement and has the ability to bear the economic risk of the investment, including complete loss of the investment.
Experience; Risk. Such party has such knowledge, sophistication and experience in financial and business matters that it is capable of evaluating the merits and risks of the receipt of the Company Shares or the Purchaser Shares, respectively, and of protecting its interests in connection herewith. Seller has the ability to bear the economic risk of this investment, including complete loss of the investment.

Seller has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risks of the receipt of the Shares and of protecting its interests in connection herewith. Seller is able to fend for itself in the Transaction and has the ability to bear the economic risk of this investment, including complete loss of the investment.

Oxxxxxxxxx has such knowledge and experience in financial and business matters that Oxxxxxxxxx is capable of evaluating the merits and risks of the acquisition of the Shares and the Warrant and of protecting Oxxxxxxxxx’x interests in connection therewith. Oxxxxxxxxx is able to fend for himself in the transactions contemplated by this Agreement and has the ability to bear the economic risk of the investment, including complete loss of the investment.
Experience; Risk. Delta has such knowledge and experience in financial and business matters that Delta is capable of evaluating the merits and risks of its acquisition of the Shares and of protecting its interests in connection therewith. Delta has the ability to bear the economic risk of its investment in the Shares, including complete loss of its investment.
Experience; Risk. IMSI has such knowledge and experience in financial and business matters that IMSI is capable of evaluating the merits and risks of the purchase of the Note and the shares of the Company's capital stock issuable pursuant to the terms thereof (the "Shares") and of protecting IMSI's interests in connection therewith. IMSI is able to fend for itself in the transactions contemplated by this Agreement and has the ability to bear the economic risk of the investment, including complete loss of the investment.

Sxxxx has such knowledge and experience in financial and business matters that Sxxxx is capable of evaluating the merits and risks of the acquisition of the Shares and the Warrant and of protecting Sxxxx’x interests in connection therewith. Sxxxx is able to fend for himself in the transactions contemplated by this Agreement and has the ability to bear the economic risk of the investment, including complete loss of the investment.
Experience; Risk. It has such knowledge and experience in financial and business matters that it is capable of evaluating the merits and risks of the purchase of the Interests pursuant to this Agreement and of protecting its interests in connection herewith. It has the ability to bear the economic risk of the investment, including complete loss of the investment. It is experienced in evaluating and investing in new companies such as the Company;
Experience; Risk. The Investor has such knowledge and experience in ---------------- financial and business matters that such Investor is capable of evaluating the merits and risks of the purchase of the Shares pursuant to this Agreement and of protecting the Investor's interests in connection therewith. The Investor's financial condition is such that it has the ability to bear the economic risk of the investment, including complete loss of the investment. The Investor is experienced in evaluating and investing in new companies such as the Company.
Experience; Risk. Holder has such knowledge and experience in financial and business matters that Holder is capable of evaluating the merits and risks of the purchase of the Note and of protecting Holder's interests in connection therewith. Holder is able to fend for itself in the transactions contemplated by this Agreement and has the ability to bear the economic risk of the investment, including complete loss of the investment. The foregoing does not, however, limit or modify (i) the representations, warranties, agreements or covenants of the Buyer set forth in this Agreement (or those of Naturade set forth in, or assumed pursuant to, the Assignment and Assumption Agreement); (ii) the right of the Company to rely thereon or (iii) the obligation of Buyer to perform its obligations under this Agreement and the Note and other Collateral Agreements (including by way of illustration and not by way of limitation to comply with the payment requirements of the Note) (or the obligation of Naturade to perform such obligations and those in the Assignment and Assumption Agreement upon and following Naturade's execution of the Assignment and Assumption Agreement).
