Expiration of Inspection Period. It is the intent of the parties that the right granted to Purchaser to terminate this Agreement shall expire upon the expiration of the Inspection Period, notwithstanding that the Title Review Period, the Cure Period or any election period may extend beyond the expiration of the Inspection Period. Accordingly, notwithstanding anything contained herein to the contrary, if Purchaser has not terminated this Agreement pursuant to Section 2.4(a) prior to the expiration of the Inspection Period, then Purchaser shall no longer have any right to terminate this Agreement under Section 2.4(a), and in such event Purchaser shall be bound to accept title to the Property under the conditions specified in Sections 2.4(x), 2.4(y) and 2.4(z) above.

Accordingly, notwithstanding anything contained herein to the contrary, provided that Seller delivers the Title Commitment and the Survey within the time periods set forth in Sections 2.1 or 2.2 of this Agreement, if Purchaser has not terminated this Agreement pursuant to Section 2.4(a) prior to the expiration of the Inspection Period, then Purchaser shall no longer have any right to terminate this Agreement under Section 2.4(a), and in such event Purchaser shall be bound to accept title to the Property under the conditions specified in Sections 2.4(x), 2.4(y) and 2.4(z) above. Notwithstanding the foregoing, in no event shall any of the foregoing apply with respect to (i) Purchaser’s right to terminate this Agreement pursuant to Section 2.8 of this Agreement with respect to any New Title Defects or (ii) Purchaser’s right to terminate this Agreement pursuant to Section 6.2 of this Agreement as a result of Seller’s failure to remove any Title Defects prior to Closing that Seller notified Purchaser that it would remove prior to Closing pursuant to Section 2.3 of this Agreement.
Expiration of Inspection Period. Seller and Purchaser hereby acknowledge and agree that the Inspection Period has expired and that Purchaser waives any right to terminate the Purchase Agreement pursuant to Section 3.2 of the Purchase Agreement.

Accordingly, notwithstanding anything contained herein to the contrary, if Purchaser has not terminated this Agreement pursuant to Section 2.4(a) prior to the expiration of the Inspection Period, then Purchaser shall no longer have any right to terminate this Agreement under Section 2.4(a), and in such event Purchaser shall be bound to accept title to the Property under the conditions specified in Sections 2.4(x), 2.4(y) and 2.4(z) above.

Provided, however, the foregoing shall not limit, reduce or otherwise constitute a waiver of (a) Seller's obligations to cure any lien or encumbrance described in clause (i) or (ii) of Section 2.4, or (b) Purchaser's right to terminate this Agreement under Section 2.8 with respect to a New Title Defect.

It is the intent of the parties that Purchaser’s right to terminate this Agreement pursuant to Section 2.4(a) shall expire upon the expiration of the Inspection Period, notwithstanding that the Title Review Period, the Cure Period or any election period may extend beyond the expiration of the Inspection Period. Accordingly, notwithstanding anything contained herein to the contrary, if Purchaser has not terminated this Agreement pursuant to Section 2.4(a) prior to the expiration of the Inspection Period, then Purchaser shall no longer have any right to terminate this Agreement under Section 2.4(a), and in such event Purchaser shall be bound to accept title to the Property without any reduction in the Purchase Price and with the Title Defects not removed from the Commitment being deemed Permitted Exceptions; provided, however, that Purchaser may, after expiration of the Inspection Period, object to New Title Defects as set forth in Section 2.8 below.
Expiration of Inspection Period. Purchaser acknowledges and agrees that it has satisfied itself as to the condition of the Property with respect to zoning and legal compliance issues, environmental issues, title and survey issues, the physical condition of any improvements located on the Property, and all other issues related to the condition or status of the Property, and that the Inspection Period under the Agreement has expired. Notwithstanding the foregoing, as provided in, and subject to, Section 3.2 of the Original Agreement, Purchaser and Purchaser's designated representatives shall continue to have the right to access the Property for so long as the Agreement remains in effect. Further, the provisions of Sections 9 and 10 of the Original Agreement shall continue in effect. Purchaser expressly acknowledges and agrees that all matters related to the Property to which Purchaser has previously objected under the Agreement (including title and survey objections) have been resolved to Purchaser’s satisfaction or Purchaser hereby waives such objections. Purchaser acknowledges and agrees that the title exceptions listed in Schedule B of the last version of the Title Commitment it has received as of the date of this Amendment are Permitted Exceptions under the Agreement. Purchaser acknowledges and agrees that Seller has delivered the Property Information as required under Section 3.1 of the Original Agreement and Purchaser has had adequate opportunity to review such items. Purchaser further agrees that Purchaser’s sole rights to terminate the Agreement from and after the date of this Amendment (each, a "Purchaser Permitted Termination Right") shall only be with respect to (a) a material change in a representation or warranty of Seller which permits Purchaser to terminate the Agreement pursuant to Section 8 of the Original Agreement, or (b) the failure of any of the Purchaser’s Conditions as set forth in Section 10 of the Original Agreement, or (c) a casualty or condemnation event which permits Purchaser to terminate the Agreement under Section 15 of the Original Agreement, or (d) a default by Seller under the Agreement as described in Section 16.2 of the Original Agreement.
Expiration of Inspection Period. Section 2.7 of the Agreement is hereby deleted in its entirety.

Expiration of Inspection Period. Purchaser acknowledges and agrees that the Inspection Period and Title Review Period have expired and, accordingly, Purchaser is hereby deemed to be satisfied with all aspects of all the Properties, including without limitation, the condition and suitability of all the Properties for Purchaser's intended use, and Purchaser shall be obligated to acquire each of the Properties in accordance with, and subject to, the provisions of this Agreement, including Section 4.2.3.
