Factoring services. 1. After the signing of this Agreement, after the Client has transferred its legally owned accounts receivable to the Factoring Bank as agreed in this Agreement, the Factoring Bank shall provide to the Client at least one of the following services, including collection of accounts receivable, management of accounts receivable, guarantee of bad debts, factoring financing, as specified in the Factoring Limit and Conditions Notice and/or Factoring Conditions Notice (applicable to Service Factoring) signed by the Client and the Factoring Bank: (1) Collection of accounts receivable: refers to the factoring bank according to the accounts receivable period, active or at the request of customers, by telephone, correspondence, door-to-door or the use of legal means to collect the buyer; (2) Accounts receivable management: refers to factoring banks according to customer requirements, regular or irregular to provide them with accounts receivable recovery, overdue accounts, statements and other financial and statistical statements, to assist them in the management of accounts receivable; (3) Bad debt guarantee: after the signing of this agreement, the factoring bank approves the credit line for the customer, and within the approved amount, provides the agreed approved payment to the buyer’s accounts receivable without commercial disputes; (4) Factoring financing: refers to the bank financing services provided by factoring banks to customers on the premise of legal and effective transfer of accounts receivable. 2. Under service factoring, the specific contents of accounts receivable collection and accounts receivable management service provided by factoring bank to customers are based on the opinion on accounts receivable management and collection service issued by factoring bank to customers. 3. When the factoring bank provides ①-③services under the above factoring services to the customer in accordance with paragraph 1 of this article, the customer shall pay the factoring bank related expenses, including accounts receivable management fees.

Factoring services the rates of such services have become generally transparent and standardized across the market. The rates charged to the Everbright Group and its associates are determined based on the then funding and management costs of the Company in addition to reasonable profits on arm’s length negotiation after taking into account the risks associated with the factoring projects and market competition.
Factoring services. Chinalco Factoring has agreed to provide factoring financing services to the Company in accordance with the terms and conditions of the Factoring Cooperation Agreement. Subject to the Factoring Cooperation Agreement, the Company shall enter into specific contracts or agreements for such specific factoring services to specify the terms of relevant transactions. Those specific contracts or agreements must be in line with the principles and terms of the Factoring Cooperation Agreement and the relevant laws and regulations. The Company and Chinalco Factoring shall design a payment method on a flexible basis according to the specific factoring services.
Factoring services. The FACTOR agrees with the CLIENT to provide it with the following services: 1.- The FACTOR shall take responsibility for managing the collection of the assigned credits. The FACTOR does not assume the risk of insolvency on the part of the DEBTORS. Therefore, the debts accumulated by a debtor with the FACTOR shall be demanded by the FACTOR, but this latter shall not assume the risk of insolvency on the part of the DEBTOR, so that non-payment of these credits by the DEBTOR shall allow the FACTOR to withhold payment of the amount of the same to the CLIENT, without prejudice to the fact that it may manage their collection in the terms established herein. The CLIENT agrees to place immediately at the FACTOR's disposal any commercial drafts or any other methods or instrument of payment issued by the DEBTORS for credits assigned by the CLIENT to the FACTOR that the DEBTORS may have sent or delivered directly to the CLIENT. 2.- The FACTOR agrees to pay the CLIENT the amount of the credits assigned, for which payment has not been advanced, after deducting the counter-payment established

  • Ordering Services a) By submitting an Order to Megaport: 1. Customer warrants that the information Customer provides to Megaport in an Order is true and correct and that Megaport may rely upon it; and 2.   • Offering Services The Manager shall manage and supervise: (i) the development of any offering of Shares that is qualified or registered with the Commission (an “Offering”), including the Company’s initial Offering pursuant to Regulation A, including the determination of the specific terms of the securities to be offered by the Company, preparation of all offering and related documents, and obtaining all required regulatory approvals of such documents; (ii) the preparation and approval of all marketing materials to be used by the Company or others relating to an Offering; (iii) the negotiation and coordination of the receipt, collection, processing, and acceptance of subscription agreements, commissions, and other administrative support functions; (iv) the creation and implementation of various technology and electronic communications related to an Offering; and (v) all other services related to an Offering.

  • Financing Services The Manager shall: (i) identify and evaluate potential financing and refinancing sources, engaging a third party broker if necessary; (ii) negotiate terms of, arrange and execute financing agreements; (iii) manage relationships between the Company and its lenders, if any; and (iv) monitor and oversee the service of the Company’s debt facilities and other financings, if any.

  • Pricing Services Chase may use any pricing service referred to in an applicable MSLA and any other recognized pricing service (including itself and any of its affiliates) in order to perform its valuation responsibilities with respect to Securities, Collateral and Authorized Investments, and Lender shall hold Chase harmless from and against any loss or damage suffered or incurred as a result of errors or omissions of any such pricing service.

  • Technical Services Party B will provide technical services and training to Party A, taking advantage of Party B’s advanced network, website and multimedia technologies to improve Party A’s system integration. Such technical services shall include: (a) administering, managing and maintaining Party A’s information application system and website system infrastructure; (b) providing system optimization plans and implementing optimization features; (c) assuring the security and reliability of the website application systems; (d) procuring, installing and supporting the relevant products produced by Party B, and providing training in the use of those products; (e) managing and maintaining all network and providing technologies to assure the reliability and efficiency thereof; (f) providing information technology services and assuring the reliable operation of the information infrastructure.

  • Manufacturing Services Jabil will manufacture the Product in accordance with the Specifications and any applicable Build Schedules. Jabil will reply to each proposed Build Schedule that is submitted in accordance with the terms of this Agreement by notifying Company of its acceptance or rejection within three (3) business days of receipt of any proposed Build Schedule. In the event of Jabil’s rejection of a proposed Build Schedule, Jabil’s notice of rejection will specify the basis for such rejection. When requested by Company, and subject to appropriate fee and cost adjustments, Jabil will provide Additional Services for existing or future Product manufactured by Jabil.
